As Chief Legal Counsel at ADB Companies (“ADB”), you will become part of a dynamic, results-oriented and newly expanding executive leadership team redefining what it means to be “ALL IN” when it comes to driving growth and delivering value for clients in the telecommunications sector. Reporting directly to ADB’s CEO, you will provide legal counsel and serve as a key business partner on a wide range of strategic and operational issues.

YOUR MISSION AS CHIEF LEGAL OFFICER

  • SERVE AS EXECUTIVE TEAM MEMBER & LEGAL BUSINESS PARTNER – Serve as a key member of ADB’s Executive Leadership Team while overseeing all legal functions for a rapidly-expanding $400M organization. Serve as a trusted business partner for operations, finance, sales, marketing, engineering, HR, private equity partners and CEO. Actively participate in strategic planning and executive team decision making. Proactively develop practical and timely solutions and lead by example with high ethics, integrity and great enthusiasm.
  • LEAD A HIGH-PERFORMING LEGAL TEAM – Small yet mighty, ADB’s legal department includes a Director of Contracts as well as four legal operations team members. Serve as a legal thought leader, key resource, mentor and strategic advisor on all legal matters. Promote a high-level of responsiveness and customer service while developing a team who serve as critical internal business partners for both day-to-day needs and growth initiatives. Drive a healthy sense of accountability and a mindset for continuous improvement. Solicit team feedback to create an environment that welcomes collaboration. Determine appropriate build-out of internal legal team to best support ADB’s anticipated growth and business objectives.
  • ADVISE ON GENERAL CORPORATE MATTERS – Provide support on a wide range of general corporate matters, including commercial contracts, vendor and subcontractor agreements, M&A, insurance claims, compliance, technology and intellectual property, and corporate governance. Oversee and support high-volume contract management, renewal and negotiation. Identify operations-related legal risks, providing solutions to balance legal and business objectives. Partner closely with finance, corporate development, private equity and ownership on fast-moving, highly active M&A activity. Provide legal counsel and risk assessments related to regulatory and compliance issues. Engage outside counsel as appropriately required.
  • OVERSEE LITIGATION MANAGEMENT – Build and develop a strong risk management strategy while proactively advising on a wide array of litigation matters. Ensure that executives and managers are fully aware of legal ramifications of actions and decisions. Provide advice on controlling legal requirements and precedents while providing legally sound, practical, results-oriented recommendations to resolve business challenges. Determine best law firm partners, managing costs and engaging in full oversight of matters with outside counsel.

  • You bring a minimum of 15+ years of progressive legal experience. Prior in-house counsel experience and prior management of a small team is a must-have. Knowledge and application of legal advice relating to construction, telecom and/or utilities industries is a plus yet is not required. Private equity experience a plus.
  • Prior experience serving on an executive leadership team strongly desired.
  • Extensive commercial contracts experience and demonstrated success in the areas of general corporate law, including mergers & acquisitions and risk and litigation management is required.
  • You are willing to serve as a hands-on business partner with the ability and desire to flex between strategic and tactical priorities required.
  • Exceptional negotiation skills and a strong business acumen required. You bring a law degree from an ABA accredited law school and serve as a member in good standing with a state bar association.
