Position Summary:

The General Counsel will oversee all legal aspects of the company and serve as a strategic partner and influential contributor to the executive team. This is a pivotal role within the organization ensuring proper legal governance and working with the CEO, Board of Directors, Executive team and external Truckstop partners to execute to the company’s strategic and operating plans.

Essential Job Functions:

  • Partner with the Board, executive team, and outside advisors to guide the company through the preparation of an initial public offering (IPO)
  • Assume ultimate responsibility for ensuring company compliance with applicable securities laws and regulations
  • Create a best-in-class legal “ecosystem” that is positioned to provide advice and guidance on contracts, patents, and corporate compliance
  • Participate in the definition and development, as needed, of corporate policies, procedures, and programs
  • Provide counsel and oversight for all litigation, selecting and supervising outside counsel, judging the merits of major litigation, and approving settlements of disputes if warranted
  • Negotiate, develop, and execute supplier, consulting and partner contracts
  • Participate in the definition and development, as needed, of corporate policies, procedures, and programs
  • Provide counsel on all labor and employment matters
  • Lead all legal activities involved with mergers and acquisitions
  • Corporate legal governance including Corporate Secretary matters
  • Oversee legal operations including development of company-wide contract review framework and documents control
  • Oversee International legal matters
  • Develop, oversee, and manage the legal operating plan and budget
  • Ensure proper protection and assist with monetizing the company’s intellectual property
  • Work with the CFO to oversee the company’s insurance/risk management matters, legal tax related matters, debt and bank financing legal matters
  • Work with the CEO and Board to oversee the equity compensation matters

Position Requirements:

  • 15+ years legal experience, 5+ years as a Corporate General Counsel and Corporate Secretary
  • BS degree in law or J.D. degree is preferred
  • Significant experience with public company SEC reporting obligations and filings
  • 5+ years SaaS, software and payments processing experience
  • 5+ years truck transportation and logistics experience is preferred
  • Experience with securities and corporate governance
  • Excellent communication, project management, organization, and multi-tasking skills
  • Ability to work on cross functional teams in a collaborative and collegial manner
  • Exceptional professional ethics and integrity
  • Exceptional business acumen and the ability to work through complex business matter and make recommendation for proper course of action
  • Comfortable working with a variety of internal and external partners including the Board of Directors and external shareholders
  • Previous experience working with Private Equity banked companies is a plus
