We are looking to add a General Counsel to our senior management team.
This position will have responsibility for oversight and execution of all legal matters related to the conduct of Franklin Sports business including Contracts, Intellectual Property, Product Liability, Human Resource and general legal matters. The individual will provide legal advice on legal and regulatory issues and federal and state laws and regulations and will report directly to the President.
The position is located in our Headquarters in Stoughton, MA.

DETAILED RESPONSIBILITIES:
General Legal Oversight
Development of a 3 year strategic plan for our Franklin Sports legal activity.
Establish policies and process related to the management of legal matters
Provide the centralized internal interface, coordination and supervision of all legal matters
Select and direct the activities of outside legal support as needed
Provide the primary contact for any legal inquiries by outside lawyers or 3rd parties
Govern the assembly, organization and retention of files and materials related to legal matters
Contract Management
Direct responsibility for writing, editing, and providing support for business negotiation of written contracts or documents with outside 3rdparties including their legal representatives for:
Licensors (Leagues, Agents, Athletes, Inventors, etc.)
Licensees of Franklin assets
Business Partners/Affiliates
Sales Reps, Distributors, Customers, Vendors
Outside Support Agencies (Advertising, Product Design, Public Relations, etc.)
Outside Contractors (insurance, financial, construction, etc.)
Web site or technology providers
Government or Non-government oversight organizations
Negotiation and resolution management of any conflicts related to contract breeches or conflicts
Management of Outside Legal Support
Oversight and authority over outside legal resources and activities related to:
Intellectual Property management (Patents, Trademarks, Copyrights, etc.)
Proactive assurance that Franklin does not infringe others
Pursuit of IP Ownership by Franklin as warranted
Defense against IP Infringement allegations
Human Resources
Product Safety and Liability
Government or NGO oversight
Oversight of Litigation
Authority over all activities and Corporate interface in any potential or actual litigation
Coordination with outside counsel as required
Product Liability
Intellectual Property
Alleged violation of State or Federal regulations
Human Resource Matters
Travel domestically and overseas as required for different projects
Handles special projects and requests as needed
EDUCATION AND/OR EXPERIENCE:
JD in Business Law
8 to 10 years of experience as in-house legal counsel handling a diverse range of business-related issues with primary emphasis on Contracts and General Business Law
Must be a Member in good standing of Massachusetts Bar
SKILLS AND ABILITIES:
Proven capability to work effectively with a broad and complex range of internal and external cohorts
Proven written and verbal capabilities including legal/contract written skills
Strong character with emphasis on honesty, integrity and maturity
High degree of confidentiality and ethical behavior
Ability to work cross functionally and internal and external parties at all levels
Level of Responsibility:
Member of the Senior Leadership team with high degree of knowledge in corporate law and the ability to work independently
Supervisory Responsibilities:
This position does not supervise employees
