The Deputy General Counsel – Corporate will work closely with Genesco’s General Counsel and company management to manage legal risk, administer public company legal responsibilities, negotiate transactions, oversee litigation, and provide expert and strategic legal advice. The DGC will assist on legal matters across North America, the United Kingdom and the Republic of Ireland. The DGC has strong business acumen and is comfortable making definitive, independent legal decisions in a short time frame with limited supervision. The DGC also has the ability to establish and maintain strong working relationships across the company’s businesses. How You Will Make an Impact: Provide general legal support and advice for all of Genesco’s corporate functions and its operating divisions including the Journeys Group, schuh, Johnston & Murphy and Genesco Licensed Brands. Support the company’s General Counsel with Corporate Secretary responsibilities. Draft and maintain corporate documents, prepare public filings and assist in managing board matters. Negotiate, draft and administer a wide range of complex agreements and other legal documents. Work with outside counsel to manage a variety of litigation matters, including class action, commercial and employment litigation. Support corporate financing activities and strategic transactions. Assess contracts from a legal and risk standpoint and provide counsel to company leaders. Oversee the management of contracts and work closely with businesses to ensure proper maintenance and retention of contracts. Work closely with the company’s Human Resources department regarding employment and benefits issues. Advising and counsel clients on various IP matters involving trademarks, patents, copyrights and trade secrets and manage outside IP counsel. Research proposed and existing laws, rules, and regulations regarding contract, corporate law, and employment law issues, communicate legal opinions and assist with determining required operational changes. Support Genesco’s compliance and risk management programs. Perform other duties as assigned. Experience and Skills You’ll Need to Have: Juris Doctorate degree from an American Bar Association accredited law school. 8+ years of legal experience relevant to the position duties with in-house legal experience and public company experience preferred. Licensed to practice law in Tennessee or qualified for licensure in Tennessee through reciprocity. Broad legal experience in subject areas including Corporate and Securities; Corporate Governance; Contracts; Mergers and Acquisitions; Corporate Financing; Litigation; Employment and Benefits; Intellectual Property; Insurance; Environmental; Tax; and Privacy.
