Responsibilities

Job Summary:

This General Counsel will manage Veritex Community Bank’s legal matters including regulatory compliance, corporate governance and manage any litigation matters. He or she will offer sound legal advice to the CEO and other senior leadership as well as the Board of Directors. The GC will manage the in-house legal team and oversee relationships with outside counsel and service providers.

The General Counsel will also communicate and oversee compliance regulations with both federal and state government agencies. In addition, you will provide strategy and risk assessments, and communicate and influence leadership within Veritex. You will be expected to be a trusted advisor with senior management, among other constituencies. This person will have a strong ability to coordinate and communicate across the Bank and offer innovative and proactive thinking and strategy on legal matters.

Responsibilities and Duties:

Provide sound legal support and advice to leadership

Assist in ensuring compliance with applicable Texas and federal laws and regulations

Assist with drafting, implementing and updating policies and procedures to assure compliance with applicable laws, regulations and investor requirements

Monitor emerging trends and recommend enhancements to banking policies, procedures and practices

Resolve various legal issues that may arise in the context of advice and strategy on litigation

Provide advice and counsel on business opportunities and transactions, including mergers and acquisition opportunities should they arise

Qualifications

Qualifications:

Juris Doctor from accredited law school and member of State Bar of Texas

8+ years practicing law within the banking industry within the State of Texas

Demonstrated knowledge of state and federal banking and financial services related statutes and regulations

Excellent verbal, written and analytical, skills, and proven ability to work effectively and interact with others. Must value teamwork and collaboration.

Must be a strategic thinker with the ability to anticipate repercussions and risks associated with business decisions

Strong organizational skills and ability to handle high volume and balance competing demands

Experience advising and working on mergers, acquisitions and other corporate transactions (preferred)
