JOB SUMMARY:
The person in this role will be responsible for legal advice to the company and oversee the compliance and risk management for our organization. They will also guide and provide advice on company corporate policies, best practices, and possible employee policies. This guidance could impact corporate strategic initiatives and decisions. He or she will work with our executive team to ensure that the company is always in compliance with industry, employment, and business process laws.
This role also must have interest, experience, and knowledge in the Consumer Finance industry.
This is a significant role and will take ownership of a variety of challenging projects. The successful candidate will be considered a highly valued business partner and will report directly to the Chief Executive Officer.
DUTIES AND RESPONSIBILITIES
Specific duties include:
- Support the executive management team and business function leaders.
- Work closely and create continuity with internal and external team members. Perform a wide variety of work and provide legal advice in connection with employment, company compliance, and company license work.
- Draft and negotiate a variety of vendor agreements, marketing agreements, confidentiality agreements, and client agreements.
- Develop and maintain relationships with outside attorneys, regulators, special contact people at state agencies.
- Implement control systems and/or tighten current systems to prevent any compliance violations or errors.
- Must be well-versed in corporate compliance best practices.
- Revise procedures, reports, etc. periodically to identify hidden risks or non-conformity issues
- Assess the businesss future ventures to identify potential compliance issues, and provide advice or training.
- Keep abreast of federal and state regulatory developments as well as evolving best practices in compliance control.
- Attend executive-level meetings relating to operations, financial, the future direction of the company, pending mergers and acquisitions, and policy changes.
- Prepare reports for senior management and external regulatory bodies accordingly.
- Coordinate responses to government and non-governmental agencies with the help of the compliance team and executive leadership.
- Responsible for and ownership of overall due dates in connection with Secretary of State filings, needed licenses and reporting requirements.
- Continually update all documents, states, interfaces, on changes following all state statutes.
- Perform pre-litigation work to minimize risks and maximize legal rights.
- Review marketing materials to ensure compliance with legal requirements.
REQUIREMENTS:
- Possess a strong business acumen
- Methodical and diligent with outstanding planning abilities
- Possess a balance of an analytical mind, able to see the complexities of procedure and regulation with a driving force to get things done
- In-depth knowledge of licensing processes, standards, and ability to learn regulations
- Excellent knowledge of reporting procedures and record-keeping
- Be available for any counsel or review needed by the Executive team
- Knowledge and experience with CFPB (Consumer Financial Protection Bureau) and/or FTC (Federal Trade Commission) is a plus
- Must have experience in leading diligence for transactions including private equity, and lead the process from inception to closing
- Must have experience in organizing a compliance department and possess a high level of organizational skills
- Must be comfortable saying no when necessary and is the backbone of the company
- Excellent written and oral communication skills
- Maintains the highest level of confidentiality of sensitive information
- Demonstrated experience with Microsoft Office Suite, including MSWord, MSExcel, PowerPoint, and license tracking software
- Must have the ability to manage and prioritize multiple projects in a fast-paced environment and deadlines
- Must possess effective leadership skills
- A minimum of 5 -10 years experience in a compliance or corporate transactional setting
- Must have a Law Degree and be a member in good standing of at least one state bar, eventually obtaining bar membership with the Commonwealth of Pennsylvania or obtaining a Limited In-House Corporate Counsel License
- Demonstrate the highest level of ethics
- Our Attorney will work directly with Executives, Operations, HR, IT, Marketing and Finance.
- They must be able to work individually or as part of a team while collaborating and coordinating with executive management. The candidate must be able to coordinate and provide training to ensure that all appropriate employees and management are knowledgeable of, and comply with, pertinent policies, rules, and regulations.
- The individual is capable of self-directed work with an ability to take ownership of department functions from beginning to end, accept personal accountability, and place a high value on the quality of the work. Professionalism and good judgment in all areas are a must.
- This position holds the ability to look beyond the standard solutions, and persevere through difficult problem-solving scenarios. Ongoing research is essential with this position. This includes identifying, reading, and understanding state statutes and regulations, and staying on top of current industry issues. Must have an ability to identify problems or red-flag issues.
- This person must have knowledge of the Telemarketing Sales Rule (TSR), Federal Regulations such as Telemarketing Sales Rules, Privacy Policies, Insurance Policies, Contract Law, FCRA, UDAAP, UPL, FDCPA, and NACHA/TEL. Comfortable with providing a risk assessment.
- This position will be involved with the national debt settlement association, American Fair Credit Council (AFCC), to stay abreast of all changes activity, and legislation being introduced.
