Atlas is searching for a General Counsel to be based out of Corporate Headquarters in Austin, TX. As a member of the Executive Leadership team, this position will play a key role in leading Atlas’ compliance with legal and regulatory requirements as a public company. The role is centered on building, maintaining, and enhancing the legal team and the compliance programs necessary to support a rapidly growing infrastructure and environmental professional services firm. The ideal candidate will be comfortable operating at a senior executive level yet have the flexibility and willingness to jump from oversight of complex legal issues to “roll up the sleeves” projects. We seek a hands-on leader who will appreciate our collegial, inclusive culture, where we treat each other with dignity and respect, regardless of position. The candidate must have the ability to build a collaborative team, motivate colleagues and inspire confidence among Senior Executives. In addition, the ideal candidate will have sufficient knowledge and insight to provide leadership on issues of corporate citizenship.

Duties and Responsibilities:

Federal securities law matters, including the preparation and review of annual and periodic filings with the Securities and Exchange Commission and compliance with the rules and regulations of the NASDAQ.

Provide legal analyses of applicable laws, regulations and industry guidance that impact corporate governance, corporate compliance, and design and implement appropriate practices and policies to ensure compliance.

Provide legal support for M&A transactions, integration efforts, and development of related policies, processes, templates, and forms, including drafting, reviewing, and negotiating a broad range of M&A and related corporate transactional agreements, including merger, acquisition, transfer, investment, divestment, incorporation, dissolution, and related ancillary agreements.

Provide legal support and advice regarding the Company’s public reporting and disclosure requirements, annual report, annual meeting and Proxy, and other matters related to SEC regulation and corporate governance. Work collaboratively with Executive leadership, Board, Legal, Finance and Human Resources and other team members throughout the Company to document, develop and improve the corporate practices. Advise on the design, development, implementation, and operation of company-wide compliance programs and initiatives.

Advise on the building, maintaining, monitoring, and continuous improvement of compliance program controls and safeguards.

Advise on frameworks for risk assessments, controls mapping and testing, and compliance program governance and reporting, and other compliance infrastructure.

Advise on alignment and integration of compliance operations across risk verticals.

Advise on legal and regulatory compliance matters across the Company, including in the areas of anti-corruption, political activities, government contracting, privacy and security and competition.

Develop and communicate compliance policies, processes, and training.

Collaborate with clients and cross-functional teams across Legal and the Company to coordinate compliance programs and initiatives.

Undertake special projects and support other compliance program initiatives.

Manage a team of attorneys and legal professionals.

Requirements

Qualification Requirements:

Bachelor's Degree, and Juris Doctor Degree from an ABA Accredited Law School required.

License to practice law in at least one state required.

A minimum of 15 years’ progressive experience with the most sophisticated and complex corporate legal matters.

Minimum of 10 years as a General Counsel for a publicly traded company, with a background in corporate, securities, finance, and mergers and acquisitions.

Demonstrated experience working on a variety of corporate matters, as well as experience in drafting and reviewing public company filings for compliance with SEC and NASDAQ rules and regulations.

Experience providing legal advice in a broad range of transactional contexts, including commercial contracts, corporate governance, M&A and regulatory compliance.

Experience providing practical advice under pressure and prioritizing work.

An individual of highest personal and professional integrity, principle, and knowledge, earning respect and support when making difficult decisions and choices. Able to establish immediate credibility with peers, Senior leadership, and the Board.

Interpersonal experience and experience collaborating with teams to solve problems.

Experience working with or in support of diverse communities.
