JOB PURPOSE The General Counsel (GC) is responsible for leading and driving the legal functions of The Fedcap Group on a global basis.

JOB SUMMARY

Reporting to the Managing Director of Strategic Initiatives and working closely with the executive and leadership teams, the General Counsel will serve as the principal legal officer for a rapidly expanding non-profit globalized human service organization. This position will support and advise on organizational growth in a global market while mitigating risk. This position requires a business oriented senior leader to work across a globalized footprint engaging in all facets of corporate services, government and general contracting, real estate, banking, intellectual property, commercial enterprise, & employment, compliance, and general legal issues. This position advises senior management and the Board of Directors with effective legal counsel on the design and execution of organizational strategies and manages risk. As a member of the leadership team, the General Counsel will be responsible for establishing and maintaining a work environment focused on excellence and that fosters learning, respect, open communication, collaboration, integration, and teamwork.

ESSENTIAL FUNCTIONS

The General Counsel will partner with other Fedcap Group leaders to develop practical ways to uphold the legal, regulatory, and ethical obligations of The Fedcap Group. The General Counsel will be responsible for providing legal counsel and services to the CEO, Board of Directors, and business leaders around all areas of The Fedcap Group operations. In addition, the General Counsel is responsible for ensuring that culture of compliance is maintained by all employees, directors, and leaders of the organization.

Develop functional plans for managing legal matters, including activities to be performed in-house or through third-party providers, to efficiently partner with the businesses to manage the company's legal activities and minimize risk for the business.

Advise on legal aspects of the organization’s activities and corporate structure considerations, including assessing and advising on current and future business structures and legal entities.

Structure key business initiatives in a manner that helps to achieve business objectives while at the same time protects legal, regulatory, and tax directives and considerations.

Manage and direct general significant corporate matters, including corporate organization, board affairs, general transaction support, license agreements, employment law, regulatory matters, risk management, financing activities, and general contract management.

Proactively address rapidly evolving regulatory and governance compliance environment including changes in laws and regulations, regulatory focus areas, and industry best practices.

Provide leadership and technical guidance to ensure an effective global ethics and compliance program.

Oversee the development of programs to prevent and detect violations of laws, company policies, and other misconduct; promote ethical practices; and ensure the implementation of the compliance program throughout the organization.

Functions as an ambassador and liaison for The Fedcap Group.

Contributes to organization success by accepting new assignments, helping team members, learning new skills, and striving to improve team results.

SECONDARY FUNCTIONS

11. Facilitate preparing meeting minutes and maintaining appropriate corporate records.

QUALIFICATIONS

EDUCATION:

A Juris Doctorate from an accredited law school required.

LICENSES:

Active license to practice law and/or member of NY State Bar.

SOFTWARE SKILLS:

Proficient with Microsoft Office Suite, Salesforce, and other finance/fundraising tracking software.

PHYSICAL DEMANDS:

Prolonged periods of sitting at a desk and working on a computer.

WORK CONDITIONS:

Work is typically performed in an office environment but may be required to perform job duties outside of the office setting.

SPECIAL SCHEDULE:

Normal business hours; At times, must be willing to work in beyond normal business hours as needed by operational needs and event schedules.

TRAVEL DEMANDS:

Out-of-the-area and overnight travel may be required as needed to support the objectives of business units within The Fedcap Group portfolio.

JOB EXPERIENCE:

Eighteen + (18+) or more years of legal experience, preferably including non-profit business experience.

International experience – Canada, EU, and UK a plus.

Experience collaborating with and managing external counsel.

Demonstrated ability to lead, effectively manage crises, and maintain executive presence.

Significant experience working with external auditors, creating/revising internal controls, and compliance-related issues.

Able to anticipate and respond to requests from the Executive Team.

Be patient and sensitive to individuals with disabilities.

OTHER:

Demonstrable knowledge of and commitment to the mission, vision and goals of The Fedcap Group and execution of relevant policies and procedures.
