We have an immediate opening for a General Counsel and Director of Risk Management to be based out of our Canton, GA office headquarters.

Position Overview:

The General Counsel and Director of Risk Management (GC) will report to the Chief Executive Officer (CEO) and the Chief Financial Officer (CFO). The GC’s primary responsibility will be to advise the Senior Leadership Team on commercial construction contracts, insurance, disputes and claims management, employment issues, contractual matters, and assist in negotiating and signing subcontracts. They will lead the development and execution of the company’s legal strategy and operations.

In addition, the GC will help drive a culture of accountability and inclusion, and work collaboratively across the company to execute strategy, while supporting the company’s culture. The GC will have a results and business-minded focus and provide expert legal counsel and leadership.

Responsibilities:

Analyze issues ethically and objectively and provide insights to strategic decisions

Identify and understand legal risks in the context of the business and its objectives, and provide solutions and direction to the team

Elevates issues to appropriate stakeholders within the company

Engage and manage outside counsel and advisors

Work with internal project teams to successfully negotiate prime contract terms while minimizing risk, increasing profit opportunities, and maintaining positive client relationships

Work with the Human Resource department on employment and compliance issues including hiring, retaining, and departing employees in compliance with state and federal laws

Promote efficient and effective contracting and risk management processes through implementation of improved prime contract terms, strategies/processes and continual maintenance and oversight of proven processes

Communicates effectively with the Chief Operating Officer on the effectiveness of risk management practices in place for Operations, Preconstruction and Business Development

Acts in a support role to advise and assist in negotiating and signing all subcontracts, together with management of subcontractor claims

Strive to mitigate inequitable risk transfer and profit restriction by clients

Strive to mitigate insurable risks through a comprehensive and effective insurance program

Monitor internal stakeholder risk tolerance and promote consistency in prime contract terms across the organization

Support and advise project teams to improve and create quality subcontract and purchase order documents while acting as a resource throughout the buyout process

Ensure that project specific owner pass-through requirements are properly addressed in the subcontract

Establish and update minimum annual insurance guidelines for subcontractors

Appropriately seek and incorporate feedback and direction from internal resources such as the Safety Department, Accounting Department, Operations Department and Project Teams, and Senior Leadership Team

Company-wide champion for education and oversight for risk management processes

View responsibilities and tasks through the lens of the business goals, risk mitigation and works to move the company's strategic plan and business objectives forward

Serve as primary internal resource and lead successful outcomes regarding all company legal and compliance matters including construction, employment, and insurance issues

Manage, advise, and contribute on litigation, arbitration, claims and notices to subcontractors and owners

Financial acumen, awareness of budget requirements and limitations, cost-conscious and value-added mentality

Contribute to profits and revenue by being an effective steward of organizational resources

Focus on positively influencing company's bottom line through implementation of the best possible prime contract terms, risk transfer, minimizing insurance costs, maximizing profit centers

Delegates tasks as appropriate and manages other related activities to ensure optimum productivity and efficiency

Works with other managers to ensure proper prioritization and time management of resources

Demonstrates innovative, creative, and effective problem-solving skills; responds in a positive manner to unusual challenges and supports change initiatives

Contributes and advises on legal matters and corporate risk strategy

Participates in training for risk management, contracting, claims and labor subject matters

Qualifications:

10-15 years of legal practice with proven progression in responsibility required

Construction industry experience along with experience managing litigation and arbitration of disputes required

Prior experience in a law firm/practice with two to three years’ experience as in-house legal counsel preferred

Strong written and verbal communication skills

Knowledge of and involvement in construction industry organizations

Juris Doctor degree from accredited law school required
