Role Overview

VoxCroft seeks a part-time (20-hour a week) mid-level attorney to provide advice and support on a wide range of legal and business matters. The Counsel will be responsible for drafting, reviewing, and negotiating various corporate agreements entered into with public and private sector, and with international clients. This attorney must have knowledge of transactional law and experience on U.S. Government contracting. The attorney will work closely with Senior Leadership on risk-sharing arrangement contracts and all related corporate legal matters and will have a multi-faceted role spanning support for the commercial team and critical business partnerships. Work in helping establish start up corporate law mechanics

Roles and responsibilities will include, but will not be limited to:

Structure, draft, negotiate, and review complex commercial agreements, including teaming and partnership agreements for U.S. Government contracts, internal labor agreements and employment contracts, and contracts with a variety of third parties.

Review, redline, and negotiate general documents in connection with a variety of corporate governance documents, including but not limited to incorporation documents, stock and dividends agreements, investor and venture capital firm agreements and arrangements, data use agreements, confidentiality agreements, participation agreements, network services agreements, etc.

Work closely with internal clients to support their objectives and drive growth.

Handle additional assignments and responsibilities as needed.

Qualification and Experience

J.D. degree and membership in at least one state bar in either Delaware or Massachusetts.

5+ years prior experience corporate law in a business-oriented law firm or in-house legal department (preference for someone who has transactional and U.S. Government experience).

Experience in corporate law in a larger corporate law firm is a plus.

Experience with contract drafting and negotiation skills related to risk-sharing arrangements and related documents. Ideal candidates will have experience with customized and/or bespoke agreements.

Experience with start ups and technology-based companies is a plus.

Strong written, communication, and research skills.

Interacts with others in a positive, respectful, and considerate manner. Ability to communicate effectively and professionally, including the ability to explain complex information to non-lawyers.

Ability to work in a team environment while also delivering independent results.

Demonstrated ability to work under competing deadlines and adjust responsibilities in response to recalibrated business needs.

Ability to be flexible and scale in an extremely fast-paced, thriving startup environment.

This is a fully remote position, but it is required that the candidate is in an Eastern Time zone.
