POSITION OVERVIEW

The General Counsel is responsible for leading corporate strategic and tactical legal initiatives. The general counsel provides senior management and various areas of the business with effective advice to ensure legal compliance and limit risk exposures while balancing business goals. The general counsel is responsible for contracting, corporate compliance, and all other legal obligations and matters.

RESPONSIBILITIES

  • Provide accurate legal guidance to management on all matters that affect the company
  • Set internal governance policies and manage the impact of external factors
  • Evaluate and weigh multiple inputs and impacts of any decision or course of action
  • Identify proactive solutions that will anticipate issues and eliminate or mitigate risks
  • Base decision-making process on ethics and integrity
  • Create associations of trust and respect with key stakeholders
  • Attract, develop, direct, motivate and drive performance from team
  • Deal with external parties (regulators, external counsel, clients, customers, etc…)
  • Participate in audits, investigations, and inquiries and take necessary action and/or make recommendations
  • Negotiate, write and execute agreements and contract to minimize risks and maximize legal rights
  • Advise management on intellectual property matters including patent prosecution, patent and software licensing, copyright protection and maintenance of trademark portfolio
  • Oversee advertising and marketing materials to ensure that they are in compliance with legal requirements
  • Provide training to company and its affiliates on substantive legal topics.
  • Ensure the Company conducts its business in compliance with applicable US federal and state, and international regulations relating to privacy and security
  • Keep abreast of legislative changes
  • Lead and develop members of the legal, quality and regulatory team

REQUIRED EDUCATION AND SKILLS

  • Professional degree in law
  • 10+ years’ of increasingly responsible legal experience
  • Overall broad legal knowledge (corporate law, litigations, labor law, patents, trademarks, IP, etc…)
  • Well-versed in how business operate with financial acumen
  • Must have in-depth health care compliance experience
  • Must have extensive experience in drafting and reviewing contracts
  • Ability to travel as needed for the position
