General Counsel

As a member of the Executive Leadership Team, General Counsel provides legal advice and strategies to the Shearers executive team. Duties include reviewing and writing various internal legal contracts, negotiating, and managing client and vendor contracts and ensuring legal compliance regarding employee safety, employment law matters and mergers and acquisitions. The incumbent serves as a trusted advisor and represents the organization with the highest level of confidentiality, integrity, forthrightness, and professionalism.

Your seat at the table

  • Advising executive members on new laws, existing laws and legal rights that would impact functionality of the business
  • Overseeing the legal matters of the business, including acting as the business legal representative
  • Maintaining knowledge of the companys legal documents and operations
  • Crafting and reviewing legal strategy in response to any litigation
  • Keeping a record of all legal documents and proceedings for the company
  • Facilitating filings of licensing forms and other statutory requirements
  • Communicating with and managing relationship with external counsel
  • Legally filing for copyright of intellectual property
  • Provide legal and business advice to business leaders, quality risk managers, and stakeholders
  • Provide legal and business risk advice regarding contractual terms, employee & vendor relations, and compliance matters
  • Review and/or revise procurement contracts and other documents, such as requests for proposals/requests for information, survey and benchmarking agreements, independent contractor and consultant agreements, license agreements, software as a service agreements, confidentiality agreements, subscription agreements, sponsorship agreements, meeting and event agreements, and other related agreements
  • Negotiate contract terms with contractors, licensors, vendors, and others
  • Anticipate and guards against legal risks involving the organization
  • Lead agreement negotiation sessions with vendor counsel
  • Perform other job-related duties as needed

Work Experience and Skills

  • Corporate law/commercial contracts background, excellent written and verbal communication skills, comfort with contract negotiation, and excellent organizational skills and thoroughness - ability to handle multiple matters at once and see them through to completion in an organized and efficient manner
  • The ideal candidate will have knowledge of applicable legal and regulatory requirements relating to contracts, licensing, software as a service, marketing, technology, privacy and security, and will have experience partnering with business teams on a variety of projects
  • Experience in analysis, review, and drafting of complex vendor contracts required
  • Experience in mergers and acquisitions a plus
  • Works well with internal "clients" and other stakeholders
  • Individual must be a self-starter and must be articulate, possess strong analytic, critical thinking and writing skills, be able to manage and prioritize multiple projects, apply good judgment, and be capable of providing creative solutions

What you bring to the table

  • Juris Doctorate from ABA-accredited law school
  • Admitted to practice law and in good standing in at least one state/jurisdiction (licensed to Practice in PA, WV or OH a plus, but not required)
  • Minimum 5+ years of relevant legal experience
