The General Counsel is responsible for leading all legal initiatives for USA Football. The General Counsel provides the CEO, senior leadership, and the organization-at-large with effective advice on USAFB strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The General Counsel is directly involved in complex business transactions in negotiating critical contracts and, most importantly, will also be expected to be a true business partner able to provide proactive and practical business-centric advice concerning USA Football’s overall strategic direction and risk/benefit profile.

Essential Functions

Oversee legal services and risk management for all of USAFB’s programming and initiatives

Structure, draft and negotiate a wide variety of contracts including sponsorship and business development agreements, content licensing agreements, agreements with vendors, event operation agreements, participant releases, etc.

Provide counsel to business clients on a wide array of business and contractual issues while coordinating with internal and external stakeholders as necessary

Support Digital, Communications and Marketing departments with legal advice including on issues such as privacy policies, terms of use, and marketing claims

Provide counsel on employment matters and policies

Active oversight and management of litigation

Manage the successful delivery of services by outside counsel

Manage and enforce intellectual property portfolio

Develop and implement operational and risk management processes and procedures and training

Administer corporate governance including participation in board of directors meetings

Serve as staff liaison to judicial committee

Counsel and assist CEO and Managing Director, High Performance and National Teams in USAFB’s relationship with the U.S. Olympic and Paralympic Committee

Counsel CEO on matters related to USAFB business, strategy, partnerships, governance, risk management and involvement in International Federation of American Football, including as it continues forward in its pursuit of the Olympic Games

Develop and implement internal and external grievance review process

Supervise the organization’s Safe Sport program

Required Education and Experience

J.D. and Bachelor’s degree

Admitted to the Indiana bar or eligible for admission

Minimum of five years of experience practicing law

Experience working on matters of corporate governance and with a board of directors

Experience with cost-effective management of outside legal resources

Preferred Education and Experience

Experience in contract drafting and trademark enforcement

Experience in non-profit and sports/entertainment law

Supervisory Responsibility

This position is responsible for supervising the Legal department staff as appropriate.

Work Environment

This position is a remote-work position.

Physical Demands

Requires the ability to sit for more than four hours per day, reading, listening, stooping, bending and manual dexterity.

Position Type/Expected Hours of Work

This is a full-time position. This position requires standard work hours and some weekend work.

Travel

Occasional travel is expected for this position.
