Brightli is the one of the largest behavioral health and addiction treatment providers in the U.S. We operate as the parent company of Burrell Behavioral Health, Preferred Family Healthcare, and their respective subsidiaries. Brightli is seeking a qualified individual to serve as its Chief Legal Officer. Organization: BrightliSupervises: Burrell Compliance, Risk Management, Internal Audit, and FoundationReports to: Chief Executive Officer (CEO)Classification: ExemptThe Brightli Chief Legal Officer (CLO) is responsible for the overall legal affairs of Brightli and its subsidiaries. The CLO advises on, develops, and executes legal and strategy in support of the overall organizational plan and strategic direction of Brightli and its subsidiaries. The CLO provides strategic leadership on compliance matters, litigation matters, contract negotiations, and Merger & Acquisition (M&A) transactions, and oversees the company’s privacy and data protection initiatives. The CLO is a multidimensional role that manages legal and litigation aspects of the organization, aligns legal strategies with organizational business strategies, suggests innovative business solutions, mitigates risk, and ensures legal efficiency.Essential Job Functions: ● Provide strategic leadership for the company by working with Brightli’s C-Suite and respective organizational Leadership Council’s Executive Team to establish both short-range and long-range goals, strategies, tactical planning, and policies.● Facilitate appropriate levels of communication between the C-Suite, Leadership Councils, and other leadership, Management, Staff, Vendors, and other resources within the organization.● Provide guidance and oversee compliance with federal, state, and locality laws and regulations affecting the company's operations. Relevant areas of law include corporate governance and transactions; venture financing; lender financing; fundraising; contracts and commercial transactions; intellectual property; data privacy, and labor and employment.● Advise the company on corporate structure and entity formation to facilitate operations and strategy, and negotiate, manage, and prepare documents for complex legal and business transactions.● Ensure that legal services are provided to the Organization in a competent and cost-effective manner including legal services budget preparation and adherence, maintenance and selection of external legal counsel as necessary, and development of bid and service expectations for legal services.● Manage day to day legal matters to support the business, including the drafting, negotiation, and finalization of general contracts, licenses, consulting agreements, business associate agreements, leases, and product and service agreements. ● Function as a corporate officer and Board advisor, assuring adherence to corporate governance principles, corporation bylaws, and proper record keeping.● Work closely with the Chief Human Resource Officer on all employment law activities, including policy development, human relations claims, and other legal activities. ● Work closely with respective organizational compliance programs on all compliance activities, policy and procedure development, and investigations. ● Provide legal consultation in the areas of employment law, records information, regulatory support, government affairs, and corporate communications.● Create the process, policies, and procedures for accessing legal services within the Organization.● Provide strategic legal advice and support to senior leadership and staff including legal implications and legal aspects relative to business practices, corporate strategies, policy interpretation, compliance, contractual disputes and legal trends.● Complete all tasks on a timely basis. Perform all assigned duties. Prioritize and plan work activities, use time efficiently and develop realistic action plans. Display willingness to make decisions, exhibit sound and accurate judgment, and make timely decisions. Identify and resolve problems in a timely manner and gather and analyze information skillfully.● Develop external relationships which will help the organization achieve its mission.● Demonstrate and maintain a culture of trust, inclusion, safety, fairness, equality, and quality. Promote a positive work environment and culture in order to help attract, retain and foster high levels of staff satisfaction.● Provide significant assistance to the CEO and/or President as assigned.Knowledge, Skills, and Abilities:● Demonstrated expertise in a broad range of legal issues including contracts, fraud, and abuse, privacy/confidentiality, employment, physician relationships, litigation and compliance issues, as well as other general corporate matters● Understanding of the healthcare environment and legal issues unique to that environment● Establishes a high level of credibility among peers as a leader in the healthcare legal practice field and experience in working with boards● Able to analyze, organize, prioritize, and make critical time-sensitive decisions● Demonstrated high levels of initiative, innovation, and collaboration● Able to communicate (both written and verbal) with people under a wide array of circumstances● Proven ability to work well with senior executives, leveraging strong intellectual, conceptual and analytical skills● Able to exercise judgment and diplomacy while addressing sensitive or challenging issues with internal or external stakeholders.● Able to work effectively in teams and autonomously in a fast-paced environment.● Takes an active involvement in furthering professional development through professional organizations.● Proficient in common word processing, spreadsheet, database, and web based applications. ● Able to work with information in a confidential manner.Experience and Education Qualifications:● Graduate from an accredited U.S. Law School with a Juris Doctorate Law Degree.● Currently eligible to practice law in the State of Missouri.● Eligible to practice law in multi-states● Ideally 5-8 years of progressive in-house corporate or healthcare legal practice experience in either a complex corporate or healthcare organization settings in a competitive marketSupervisory Requirements:● Communicate the strategic direction of the organization and encourage participation by all associates.● Provide leadership and guidance to all aspects of services provided.● Take an active role in monitoring the identification, development, and execution of strategic objectives.● Involve, as appropriate, all associates in order to achieve goals.● Effectively communicate to associates any changes and news worthy events within the department or company to all associates. ● Handle difficult personnel situations directly, using appropriate discretion and Human Resource advice to show respect for the individual.● Champion change and effectively manage the implementation of new ideas.● Reinforce team approach throughout functions; support and solicit input from team members at all levels with the company.Employment Requirements:● Successful completion of a background check including criminal record, driving record, and abuse/neglect.● Completion of New Hire Orientation at the beginning of employment.● All training requirements including Relias Learning at the beginning of employment and annually thereafter.● Must have a current driver’s license, acceptable driving record, and current auto insurancePhysical Requirements:ADA Consideration - Sedentary work: Exerting up to 10 pounds of force occasionally (exists up to 1/3 of the time) and/or a negligible amount of force frequently (exists 1/3 to 2/3 of the time) to lift, carry, push, or pull, or otherwise move objects, including the human body. Sedentary work involves sitting most of the time, but may involve walking or standing for brief periods of time.
