The Chief Legal Officer will oversee all legal matters for WCG and all subsidiary entities. As the primary legal advisor to the CEO, the Company’s executive and senior management teams and the Board of Directors, he/she/they will lead and manage the legal, corporate and regulatory compliance functions. The CLO will advise on major contracts and transactions, acquisitions and business agreements; regulatory compliance; financing agreements; litigation; research and intellectual property matters; IT policy and systems; labor and employment issues; medical staff and patient care matters; graduate medical education; and outside counsel management. The CLO will also serve as the Secretary of the Board of Directors.

EDUCATION REQUIREMENTS:

Juris Doctor (J. D.) from an ABA-accredited law school; Must have/receive membership to the bar association of one of the states in which attorney practices.

QUALIFICATIONS/EXPERIENCE:

At least 15+ years of experience required through a combination of law firm and in-house experience as a general counsel. Deep healthcare experience is required ideally in the areas of hospital/healthcare business operations and contracting; business transactions, including joint ventures, mergers/acquisitions/dispositions, and financing; and healthcare regulatory and legal compliance. Possesses deep understanding of major federal laws, applicable state laws and related regulations that govern the provision of services provided by WCG. Experience interacting with and/or managing Board of Directors operations, including preparation of materials for Board meetings and advising on various issues such as corporate governance and fiduciary duties, ethics and compliance, and strategic transactions. Experience effectively developing and implementing strategy, in partnership with outside counsel as appropriate, to address complex litigation and regulatory inquiries. Executive leadership and ability to see and handle more than the legal issues of a project; strong, pragmatic business acumen with the ability to recognize the business consequences of legal advice; a strategic and innovative thinker who can develop and articulate a clear understanding of the organization’s strategy from all perspectives and find creative solutions to complex legal problems. A demonstrated ability to be an effective leader within an established legal department. Experience with compliance-related issues and demonstrated ability to effectively communicate and enforce compliance and legal policies and procedures. Experience with regulations impacting the provision of healthcare services and/or clinical research will be preferred. A high level of professionalism, outstanding business judgment and interpersonal skills and excellent verbal and written communication skills needed. An innovative approach to legal issues in support of strategic business initiatives and objectives required. Must have advanced computer skills, including MS Word, MS Outlook, MS Excel and Internet research. Intermediate skills in Adobe Acrobat needed.

ESSENTIAL DUTIES/RESPONSIBILITIES:

• Developing and leading legal strategy to promote and protect the Company’s interests in corporate and commercial legal matters; facilitating strategically important corporate initiatives such as acquisitions or alliances and advising management and the Board with respect to the transactions and negotiations.

• Overseeing the delivery of legal services and resources to accomplish corporate goals, strategies, and priorities.

• Working with the executive team to understand strategic initiatives and business needs, providing legal and business counsel, and establishing and influencing appropriate ethical standards and legal considerations.

• Advising the Company on the litigation risks of business decisions, providing counseling on legal risks associated with business practices, and developing strategy with inside and outside counsel in response to civil litigation and regulatory inquiries (including negotiating settlement agreements where appropriate), and cost-effectively managing the resources required to address those matters.

• Developing, implementing and managing a strategic plan for the provision of legal services in accordance with and support of business objectives; budgeting for, selecting and managing outside counsel; managing existing in-house lawyers; creating staff development plans in conjunction with HR; and recruiting, developing, and training staff in accordance with the strategic plan.

• Maintaining corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community.

RELATED DUTIES/RESPONSIBILITIES:

• Represent the legal department on cross-department and organization-wide committees and special projects.

• Weekly presence in Princeton, New Jersey office required. Minimal travel required.

• Administer other legal or business matters as assigned. These may, on occasion, be unrelated to the position described here.

SUPERVISORY RESPONSIBILITIES:

Direct Supervision of all Legal staff (Attorneys, Contract Managers, Paralegals).
