Mon Ami Realty is seeking a talented attorney to continue its growth. Mon Ami Realty and its holdings companies own 200+ properties of all asset types from commercial office buildings, shopping centers and industrial buildings to mixed use, multiunit and single family residential homes. We continue to grow at a rapid pace having purchased over 100 properties in the last 12 months.

How you’ll help:

Mon Ami Realty is seeking a talented attorney to continue its growth. The position requires an organized, responsive, detail-oriented candidate with strong real estate skills and a deep knowledge of transactional work.

What you’ll do:

Business Organizations

Negotiate and draft terms sheets and operating agreements

Organize new entities

Draft amendments to existing partnership terms

Serve as registered agent for Mon Ami companies

File and track annual reports in multiple states

Draft quarterly reports for investors

Track changes to investment ratios and ownership and other changes to entities

Contracts

Review service contracts for Mon Ami companies

Create Mon Ami service contracts for vendors

Track all contracts and summarize key dates and terms

Financing

Draft financing instruments, e.g. promissory notes

Draft seller financing documentation, e.g. contract for deed

Review proposed financing documentation for Mon Ami related entities, e.g. mortgages, assignment of rents, business loan agreements

Employment/Independent Contractor Agreements

Review and update current employment agreements for varying office roles

Review and update office agreements for independent contractors

Acquisitions and Dispositions

Develop and form broker representation agreements

Develop and form purchase and sale agreements for varying sales conditions and asset types

Negotiate and draft LOIs and purchase/sale agreements

Assist with due diligence, e.g. abstracting leases, drafting estoppels

Review and participation in all aspects of title work (ordering and reviewing/objecting to commitments, clearing title exceptions, summarizing documents of record, e.g. easements) and the receipt of and tracking of all issued title policies

Leasing

Develop and form broker representation agreements

Develop and form lease agreements for residential and commercial leases

Negotiate lease terms for Commercial Leases with counsel for prospective tenants

Litigation

Negotiate settlements pre-litigation including documentation thereof

File forcible detainer actions (evictions) where appropriate

Work with and supervise outside counsel as appropriate

Research

Perform generalist role in researching wide range of legal issues but with an emphasis on real estate transactions, real estate brokerage, tax matters, tort, and landlord - tenant law

Municipal

Oversee Violations

Respond to municipal complaints in Chicago and collar counties concerning building code and other violations

Attend municipal hearings and negotiate resolution with appropriate parties or prepare and litigate matter at trial

Property Taxes

Assist and prepare tax protest documentation and settle valuation with County Assessor offices in IL and other states and attend hearings as needed

Assist and prepare applications for tax incentives and rebates

Purchasing

Oversee Tax Sales

Oversee Bankruptcy Court

Proform outreach to banks

Partner with companies looking to lease space and purchase on their behalf

Legal

Oversee all revenue counts, title agent, etc

Develop and lead corporate legal strategy to promote and protect the company's matters

Develop and lead internal audit and corporate compliance programs

Oversee delivery of legal services and resources to accomplish corporate goals, strategies and priorities

Manage proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large

Advise the CEO and other senior corporate officers on a variety of issues

Participate in the formulation of general management policy as a member of the executive management team

Job Type: Full-time

Pay: $125,000.00 - $200,000.00 per year
