Position Summary:

Reporting to the President and CEO, the General Counsel oversees and manages the provision of all legal services to the Company ensuring maximum protection of its legal rights and maintaining its operations within the limits prescribed by law. This leader provides strategic guidance, consultation, and support to company officials on a comprehensive range of legal and associated issues involved in carrying out the objectives of the company.

Supervisory Responsibilities:

Selects, retains, and manages outside counsel.

Recruits, hires, and manages corporate environmental management staff.

Responsible for performance management of direct reports in accordance with company values, objectives, and policies.

Provides mentoring, coaching, training, and support consistent with developing and sustaining a high-performing and accountable team.

Duties/Responsibilities:

Serve as a member of the executive team assisting in managing the day-to-day and strategic direction of the company.

Advise executive team members proactively on new laws, existing laws, industry trends, and legal rights that would impact functionality of the company.

Oversee all legal matters of the company, including acting as the company’s legal representative.

Craft and review legal strategy in response to any claims and/or litigation.

Maintain a record of all legal document and proceedings for the company; preserve all corporate records.

Facilitate filings of licensing forms and other statutory requirements.

Select and retain outside counsel, as required, to obtain legal opinions or to handle claims and litigation.

Draft and review contracts and other legal documents to ensure they accurately reflect business objectives and are legally binding.

Draft, review, and approve policies, procedures, and bylaws.

Provide legal counsel and guidance to the officers and employees of the company on all legal matters relevant to the company, including personnel law, policies, procedures, rules and regulations, and laws pertaining to real estate transactions, contracts and grants, tax matters, worker's compensation, liability and insurance matters, public monies and purchases, affirmative action, and other laws and regulations.

Develop and manage department budgets and perform periodic cost and productivity analyses.

Train company employees on pertinent legal and regulatory issues through seminars and meetings.

Ensure legal compliance with state and federal regulations.

Develop organizational policy and management systems designed to meet environmental regulatory requirements and company environmental management goals.

Provide legal interpretations and recommendations to management and other staff.

Communicate with external parties such as regulators and policymakers.

Serve as Board Secretary and maintain minutes for quarterly meetings.

Manage company intellectual property.

Perform miscellaneous job-related duties as assigned.

Required Skills and Abilities:

Experience managing complex and diverse litigations and/or transactions.

Experience with corporate governance and corporate board secretarial duties.

Skill in budget preparation and fiscal management.

Knowledge of statutes, rules, and regulations which impact all facets of business.

Demonstrated ability to effectively advise executive leadership and management and collaborate with public officials.

Understanding of business sensitivities and confidentiality.

Ability to develop and implement legal strategies and objectives.

Ability to predict and prevent legal issues and risks.

Strong moral and ethical principles.

Excellent judgment and analytical skills.

Excellent verbal and written communication skills.

Leadership and supervisory skills.

Education and Experience:

J.D. from an American Bar Association accredited law school

Minimum of ten years of experience directly related to the duties and responsibilities specified.

Minimum of five years of industry-related legal and/or governmental affairs experience required.

Member of the Association of Corporate Counsels preferred.

Salary Range: $175,000-$225,000. Must be able to meet minimum qualifications to be considered an applicant.
