Overview

An independent mortgage bank seeks an experienced lawyer to serve as General Counsel. This full-time position will report directly to the companys executive management team. The role requires good judgment, a strong work ethic, excellent communication skills, superb contract review and drafting skills and substantial experience in the mortgage industry.

Duties as General Counsel:

  • Responsible for all legal matters, e.g., corporate governance, M&A, warehouse credit facilities, loan purchase agreements, employee and HR issues, post-closing and secondary issues, borrower complaints, office leases, vendor agreements and vendor management, legal compliance including state and federal mortgage law compliance, IP management, pre-litigation/ADR and litigation management, mortgage licensing, legal matters related to mortgage servicing, and creation and administration of legal budget.
  • Review, negotiate and draft contracts.
  • Oversee day-to-day legal matters and associate corporate counsel.
  • Hire and manage legal personnel.
  • Provide clear, cogent legal guidance to management.
  • Conduct legal research and draft guidance memos.
  • Review and revise internal policies and procedures.
  • Collaborate with and manage outside counsel.
  • Ensure conformity with state and federal laws, rules, and regulations related to the residential mortgage industry, including loan origination, servicing, and consumer direct marketing.
  • Ensure conformity with rules and guides promulgated by government agency investors and insurers and GSEs.
  • Manage compliance department.
  • Play a leading role in drafting and adhering to policies and procedures.
  • Lead the preparation and execution of regulatory exams and audits, as well as compliance-related projects.
  • Develop and run Compliance Management System. Experience and Skills:
  • J.D. degree and membership in at least one state bar.
  • 8+ years of transactional law experience from a law firm or in-house.
  • Prior employment as general counsel, associate corporate counsel or the like at residential. mortgage lender AND/OR substantial and long-term representation of residential mortgage lenders while in private practice.
  • Working knowledge of relevant laws, regulations, and protocols, including:
    • GLBA, SAFE Act, HOEPA, RESPA, HPA, TILA, TRID, ECOA, Vendor Management rules under CFPB, Fair Housing Act, Consumer Protection Act, MARS Rule, SCRA, UDAAP, FCRA, CAN-SPAM Act, TCPA, BSA/AML program, relevant FFIEC guidance, AIR and Appraisal Controls, OFAC monitoring, HPML reviews, QC/QA, flood insurance policy requirements, FinCEN/SAR obligations, KBYO guide, CIP compliance, ATR/QM, rules and guides promulgated by government agency investors and insurers and GSEs, continuing education compliance, etc.
  • Working knowledge of NMLS, Encompass, Mavent, and major compliance software and vendors and training programs.
  • Experience negotiating and drafting loan purchase agreements, warehouse credit facilities, and corporate documents.
  • Deep understanding of the residential mortgage industry.
  • Detailed, organized, focused, and strategic.
  • Develops and executes plans to complete projects in a timely manner.
  • Clear and concise written and verbal communication.
  • A strong desire to lead and manage.
  • Excellent interpersonal skills.
  • A major plus, but not a prerequisite, litigation experience, familiarity with mortgage servicing, consumer direct, and growth via JVs and M&A, and working relationship with high quality outside counsel.
