WHAT YOU WILL BE DOING:

This role will provide legal strategy and counsel in support of a dynamic, fast-paced industry and organization interacting with several functional areas including but not limited to Sales, Marketing, Hotel Operations, Finance, HR, etc. to enable growth of new business. This executive will have direct interaction with all management levels and stakeholder groups including various board-level officers executives, internal and external. This position will have responsibilities in the areas of contract drafting & negotiation, commercial transactions, update and upkeep of passenger ticket contracts, terms and conditions for trade facing interactions and advising on commercial legal issues and corporate & regulatory matters. This role also encompasses government relations across commercial markets and destinations visited by the vessels.

This person will often be required to work on time sensitive matters and handle a high volume of agreements. This position reports to the Chief Administrative Officer but operates with significant autonomy and generally interacts directly with the business team without supervisory intervention. Of note, this role will have global exposure and interaction across key commercial markets for the business.

Essential Duties and Responsibilities:

Strategic: Partner closely with business leaders across the organization to understand company priorities and goals, trends in business, and other issues facing employees and business.

Structures and manages the company’s internal legal function; develops and execute legal strategies, programs, processes and policies that are aligned with the company’s objectives and support accelerated and sustainable growth of the business.

Functional Management: Engage and manage outside counsel in matters including data privacy and security compliance, marketing, employment law, intellectual property, etc. Engage outside counsel in understanding US and global intellectual property, employment and data privacy laws and advice on how to comply with said requirements (e.g. privacy policy updates for each country in which data is collected, cookies notices, data transfer agreements, data processing addendums).

In collaboration with Human Resources, understand the collective bargaining agreement and advise on global labor and employment issues, and other strategic matters, working closely with stakeholders; crew union agreements and negotiations

Draft, negotiate and execute a wide range of complex agreements, consulting agreements, services agreements and general contract requirements.

Manage all group agreements and oversee group templates and contracting process

Manage and optimize legal function expense and enterprise risks in enabling key business outcomes; advise on related legal and regulatory issues and risks, complex agreement structures, and strategy specific to trade partners, sales and handling guest complaints.

Global regulatory compliance: Monitors and assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable international and domestic laws and regulations (including: maritime, global and US data privacy, antitrust, consumer protection, environmental, ethics, anti-bribery, etc).

Serves as key legal advisor on all business transactions. Manage business requirements and seek assistance from outside counsel in ensuring desired outcomes

Advises on legal aspects of the company’s financing, including assessing and advising on current and future corporate business structures and legal entities

WHAT WE LOOK FOR:

J.D. from an accredited U.S. law school.

10+ years of experience in the practice of law with a significant focus on transactions relating to cruise sales, and operations

Membership in the Florida Bar or willingness and qualification to be Registered In-House Counsel.

Previous experiences in corporate transactions including mergers, acquisitions, divestitures preferred.

Excellent verbal and written skills and the ability to effectively communicate to all levels of the business.

Strong team player and ability to work cross-functionally in a complex organizational structure.

An ability to understand business imperatives and can execute the creation of departments strategy and execution plans including building out the team by hiring additional staff to support the legal function

Ability to learn business requirements quickly, analyze legal and commercial risks and propose creative, business-oriented solutions, manage a high volume of contracts and legal requests in a timely manner.

Transactional experience in the legal department of a corporation

Proficiency in using various software programs to manage and organize workload and communicate to the business and colleagues, such as MS Office, SharePoint, Office 365, and DocuSign
