We are looking for an experienced and driven attorney to serve as General Counsel (GC). The incumbent will help support legal needs to senior management with effective legal advice and assist in the negotiation of contracts and agreements. In this role you will serve as the point of contact for all legal matters, interacting with business to proactively assess and manage risks and deal with the routine legal matters. Also functioning to guide and develop internal legal and compliance processes, procedure, and strategy. All S&S Activewear employees must adhere to the guidelines presented in the S&S Activewear Employee Handbook.

Monday-Friday 8AM-5PM, Full-Time, Exempt

(Bolingbrook, IL or Remote)

Duties and Responsibilities

The GC is expected to coordinate legal compliance and matters professionally with CEO, HR, and other Senior Executive Team and outside Counsel and partners pertinent to enforce company's procedures and policies.

Providing accurate, relevant, and timely advice to members of staff on a variety of legal topics and matters that relate to our business sector.

Provide effective guidance to ensure legal compliance and mitigate risk exposure, taking into consideration both financial and reputational business impacts.

Embed and maintain effective internal governance policies and processes related to legal compliance for the company.

Collaborate with Operations, Finance, Marketing departments and Professional Development to assure legal adherence for special projects.

Collaborate with outside counsel to defend organization's rights in contract settlements, negotiations, and litigation.

Drafting, reviewing, writing, and negotiating various contracts and agreements.

Establish position and effectively negotiate with external parties where required on legal-based business matters.

Provide training to company employees in relation to legal and risk issues.

Creates competitive and breakthrough strategies that show a clear connection between vision and action.

Gather information in a fast-paced business environment, understanding business needs and goals, and working with intensity toward effective, practical, and timely legal solutions.

Communicating with and managing any third-party bodies such as external counsel or auditors.

Reviewing advertising and marketing materials to ensure compliance with legal requirements.

Support due thoroughness examinations to connect with company acquisitions.

Keep informed of new laws, regulations, and industry trends affecting the organization and assist with the development of policies.

Required Education, Skills, Abilities and Experience

Law degree from an accredited United States law school and a member in good standing with a State Bar.

10- 15 years of experience with a major law firm or in-house legal department.

5-10 years of experience with mergers, acquisitions, and divestitures.

5-10 years of experience working with public and private companies.

10-15 years of experience as a General Counsel for a large organization.

Ability to create legal contracts, briefs, and all other legal documentation.

Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization.

An excellent written and verbal communicator, including the ability to translate sophisticated legal issues into laypersons terms and draft employee-facing communications.

Someone with sound judgement, ethics and integrity, discernment, and decision-making capability in dealing with complex legal issues.

Work independently and effectively with a wide range of business partners and see projects through to completion.

Self-motivated and highly proficient in the ability to multi-task, prioritize a high volume of diverse matters and tasks, and handle unplanned work.

Proficient in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint, etc.)

High degree of independence and autonomy required in the day-to-day performance of duties.

Ability to travel as needed.
