Overview:

TDW's General Counsel (GC) is a senior executive who is responsible for providing legal guidance and advice to a company. As the GC of a US-based global company, your role would involve overseeing all legal matters for the company worldwide.

Responsibilities:

Provides legal guidance to the company's executive team on all legal matters, including litigation, intellectual property, mergers and acquisitions, labor and employment, regulatory compliance, and other legal issues.

Develops and implements legal strategies that align with the company's overall goals and objectives. Works closely with the company's executive team to ensure that legal risks are properly managed.

Monitors legal compliance by ensuring that the company complies with all legal and regulatory requirements in the countries where it operates. This includes monitoring changes in laws and regulations and providing guidance to the company's management team on compliance issues.

Manages disputes and litigation involving the company, including working with outside counsel and overseeing the company’s litigation and other dispute settlement activities.

Collaborates and communicates effectively with stakeholders, including the company's Boards of Directors/Managers, investors and regulators to offer a business minded approach to matters impacting the company. Develops relationships with external legal counsel, government officials, and other key stakeholders.

Directs internal investigations across a range of legal, employment and compliance matters in the U.S . and abroad.

Oversees contract preparation and negotiation through the work of the legal and compliance team to ensure that the terms of agreements are in line with the company's policies and objectives.

Works with Boards of Directors/Managers, management, the legal and compliance team and outside vendors to initiate, record, implement and monitor company governance activities worldwide.

Hires, trains, coaches, counsels, and evaluates performance of the legal and compliance team including attorneys, paralegals and other professionals.

Qualifications and Experience:

JD with Bar admission in the state of Oklahoma or a state with Oklahoma reciprocity.

20+ years of legal practice, including demonstrated success as in-house counsel and/or outstanding relevant experience at a top law firm.

Previous experience in corporate governance matters and past experience navigating relationships with a Board of Directors/Managers.

Previous experience leading global team of attorneys across multiple time zones.

Demonstrated success in leading the legal due diligence, negotiation and execution of merger and acquisition transactions.

Previous experience reviewing and negotiating contracts with customers, vendors, and other third parties, ensuring that the terms of the agreements are in line with the company's policies and objectives.

Excellent communication skills (both written, verbal and presentation).

Proven ability to collaborate across a diverse array of functions internally and effectively influence internal and external colleagues.

Excellent problem solving and conflict resolution skills in working with senior leadership to reach creative solutions driving the business forward.

Consistent executive presence and demonstrates strong emotional intelligence when interacting with all levels of the organization.
