Over the past several years, through a combination of organic growth and M&A activity, Modera has grown to over 100 employees.

As we continue our growth trajectory, we are seeking a corporate lawyer with 8+ years corporate legal experience to join our team as our General Counsel. The General Counsel provides legal support for all aspects of mergers, acquisitions, divestitures, and strategic investments on behalf of Modera. This position is responsible (alongside external counsel) for reviewing potential mergers & acquisition opportunities, developing transaction strategy and structure, conducting due diligence, drafting documentation, leading negotiations, and supporting deal closure and execution. The General Counsel will also serve the important role of managing risk on behalf of Modera and be the primary legal counselor for our internal teams.

The General Counsel may be resident in any of our offices and some remote work is available. Some travel may be required.

Job Responsibilities include but are not limited to:

Primary legal support for all stages of M&A activity from target identification, transaction planning, diligence, deal development and execution, and integration post-transaction

Primary contact and supervisor of all outside counsel

Review and formation of joint ventures, equity investments, and other strategic collaborations, including licensing

Advice and guidance to the internal M&A leadership team (including CEO)

Working closely with all internal and external parties (including internal functional groups) in all stages of deal activity

Provide high quality contract advice, negotiation, and review in a timely and cost-effective manner, to enable the applicable Modera to meet legal obligations and reduce risk for moderate to complex contracts.

Manage applicable outside counsel and expert fees, to reach the best long-term solution for Modera

Serve as Chief Risk Officer including creating business continuity plans to limit risks, implementing health and safety measures and purchasing insurance, conducting policy and compliance audits (including liaising with external auditors).

Qualifications for this position:

Juris Doctor Degree (J.D.)

Good standing with a state bar association and in-house counsel registration in a timely manner following hire

8+ years of legal experience

5+ years of legal experience primarily in M&A at a top law firm and/or in-house

Demonstrated capacity to think and work proactively and strategically in resolving legal issues

Substantial experience as a solution and business-oriented attorney working all phases of M&A deals including reviewing, structuring, drafting, and negotiating M&A deals, strategic investments, joint ventures, and other collaborations

Substantial experience independently negotiating complex business transactions

Substantial experience with risk manage tasks including participating in audits, reviewing and purchasing business insurance and creating business continuity plans.

Excellent written and verbal communication skills

Team Player; Ability to interact effectively with multiples levels of the organization and maintain strong relationship with peers, internal clients, and external parties (including external counsel)

Sound judgment and attention to details

Adaptability and flexibility are required; ability to work under pressure and beyond standard hours during busy periods

Personable, warm, engaging; Client first attitude.
