Location: Fully Remote role

Compensation: The compensation for this position will be based on experience and will be comprised of a base salary and annual performance bonus.

What will you do?

Serve as a key legal and strategic advisor on all major business transactions, including strategic partnership deals, mergers and acquisitions, and financing transactions.

Advise senior management on a broad range of international, federal and state regulatory and compliance matters, including oversight and recommendations.

Responsible for identifying and appropriately managing legal and compliance risk throughout the organization, including data privacy and privacy compliance.

Optimize the contract process by designing both a people- and technology-supported system that maximizes the pace of contract throughput, reduces the length of the sales cycle and is highly scalable.

Advise key executives on contract status, legal risks, and business terms of various deals.

Negotiate, draft, and execute agreements and contracts as needed.

Participate in executive team meetings and contribute to the business’ overall strategic growth plans.

Act as the corporate secretary for the Board of Directors.

Manage outside counsel and lobbyist relationships and budgets.

Support state and federal lobbying efforts as needed, in partnership with CMO and CEO.

Keep informed of potential international, federal and state legislative changes that may affect the company and its affiliates.

Manage litigation and litigation strategy.

Assist in the identification and protection of vital intellectual property.

What do you need to succeed?

Juris Doctorate degree from an accredited ADA approved institution with appropriate active bar licensure necessary to perform role.

10-15 years demonstrated experience in legal services with a minimum of 3-5 years working in-house with a significant focus on SaaS.

Demonstrated track record of applying a commercial orientation in a fast-paced, entrepreneurial technology environment.

A commitment to collaborating with people; commitment to doing the right things right.

Experience working at a senior management/executive level for at least 5 years.

Experience streamlining the contract process using both people and technology to drive revenue and reduce the sales cycle.

Experience optimizing customer and vendor contract terms for the specific needs of a business.

Experience with mergers, acquisitions and financing transactions.

Experience managing outside counsel.

Experience managing litigation and litigation strategy strongly preferred.

Experience managing relationships and business terms with commercial insurance providers.

Experience with lobbying and government affairs.

Excellent written and oral communications skills in public and private settings with diverse audiences.

The ability to translate and explain complex legal issues for various audiences.

The ability to build consensus among different groups with competing demands.

Experienced planning for the future, keeping abreast of legal regulations while managing day-to-day projects.

Experience engaging with people across a variety of levels with diverse backgrounds.

The ability to travel 5-10%.
