As General Counsel you will optimize our organizational efficiency regarding legal matters including reviewing and drafting IT, customer, employment, real estate and vendor contracts, manage copyrights and trademarks, and preserve business records such as minutes of meetings and resolutions.

You will be responsible for the negotiation and management of customer contracts, insurance matters and employee relations. You will ensure legal compliance regarding mergers and acquisitions (M&A) activity, labeling, employee safety and consumer protection. You will oversee compliance with corporate governance and establish the prudence of defending lawsuits and prosecuting.

As Chief Compliance Officer you will be a strong legal and compliance generalist with specific state law experience and sound knowledge of personal data requests standards, law enforcement, consumer protection and data protection laws. The main purpose of the role is to lead the legal and compliance function globally, to ensure that the Company adheres to all legal, regulatory requirements and best practice. You will be responsible for enforcing policies and regulations in all aspects and levels across the Company as well as providing guidance on legal and compliance matters

Key Responsibilities:

General Counsel

Advising executive, senior management and board on various matters such as legal rights, and new and existing laws.

Managing organization's legal matters including designing and oversee the company's policy and position on legal matters.

Examining and creating draft agreements, such as employment, customer and vendor agreements.

Maintaining knowledge of organization's operations and legal documents.

Conducting legal research and reviewing company's litigation strategy pertaining to legal actions.

Promulgating and creating directives of corporate acts and decisions.

Preserving all corporate records.

Handling statutory filings, such as licensing forms.

Liaising with outside counsel regarding their assignments.

Creating new entities and managing organization's intellectual property.

Prepare the appropriate legal documents for trial or court proceedings.

Evaluate new business partnerships with vendors and subcontractors.

Represent the company in legal proceedings.

Protect the company against legal risks and violations.

Examine the legal issues related to new products and services.

Negotiate deals on behalf of the company.

Guide management on regulatory and compliance issues to ensure compliance with legal regulations.

Chief Compliance Officer

Initiating the review and negotiation of all commercial agreements, including supplier's agreements and partnership agreements.

Responsible for the creation of suitable templates tailored to the business needs.

Maintaining a repository of legal compliance agreements and commercial contracts entered into by the Company to ensure state and federal compliance.

Ensuring that the Company is compliant with its data protection obligations, including (but not limited to), requests for personal data, subpoenaed data requests, court requests, DSARs, privacy policies, privacy assessments and data processing agreements.

Training staff and maintaining a library of relevant legal and compliance requirements as it relates to compliance to avoid risks.

Leading on compliance projects as they arise, supported by internal stakeholders, including but not limited to ensuring that any governmental or court requests are complied with in a lawful and timely manner.

Reviewing internal rules and related procedures published by the company. Design and implement various policies and procedures, if applicable.

Work closely with the various departments in the company and providing recommendations and comprehensive legal and compliance support where required, including state and federal level laws and regulations.

Lead and successfully execute all current and any new compliance or industry certifications as required (e.g. ISO, SOC2, IEEE, etc. type certifications).

Qualifications:

Juris Doctor degree from accredited law school.

4+ years practice with an established law firm and/or 4+ years prior experience as a corporate lawyer.

Proficient legal experience in fund investments, private equity owned business, SaaS software and M&A.

Experience with corporate governance issues and corporate secretarial duties.

Ability to work calmly under pressure, ensuring sound advice and guidance given.

Collaborative working, liaising with Senior stakeholders and members of the Executive team of directors.

Solutions driven with the ability to work independently within minimal supervision.

Knowledge of general global Consumer Protection Regulations, Marketing, general Advertising Standards and Package Travel Regulations.

Excellent knowledge of data protection laws including PECR, GDPR, the California Consumer Privacy Act 2018 or ability to acquire such knowledge.

Experience of managing compliance functions.

Prior US employment law experience.

Corporate law, Dispute Resolution and Intellectual Property law experience an advantage.

Excellent communication skills, both oral and written.

Commercially minded with an ability to actively engage within the business.

Organized and able to prioritize workload efficiently.

Proactive, responsive and efficient.

Scope:

Consistently works with abstract ideas or situations across functional areas of the business. Through assessment of intangible variables, identifies and evaluates fundamental issues, providing strategy and direction for major functional areas. Requires in-depth knowledge of the functional area, business strategies, and the company's goals.

Job Complexity:

Develops corporate and/or organizational policies and authorizes their implementation. Detailed knowledge of company allows for innovative concepts and promoting new ideas. Provides direction to senior managers in various areas, groups, and/or operations. Recognized as an influential leader.

Discretion:

Erroneous decisions will have a long-term effect on the company's success.

Interaction:

Interacts internally and externally with executive level management, requiring negotiation of extremely critical matters. Influences policymaking.

Supervision:

May direct and control the activities of one or more functional areas, divisions, product groups or service areas through senior managers who have overall responsibility for the successful operation of those assigned areas.

Work Environment:

Indoor office environment.

Physical Demands:

Must be able to remain in a stationary position 50%.

Requires ability to conduct stationary work at a desk or computer for prolonged periods.

Constantly operates a computer and other office productivity machinery, such as a calculator, copy machine, and computer printer.

Frequent need to communicate verbally, in person, via phone or in writing. Must be able to exchange accurate information in these situations.
