Overview

Reporting to the CFO, the General Counsel is a highly visible leadership role providing leadership, strategic advice and compliance oversight on all legal and related matters to the business. Provides hands-on counsel to all levels of executive staff and manages the operations of a 5-6 person Legal Department. In a high growth, dynamic, global private equity backed business, the GC is responsible for identifying and analyzing legal issues broadly, drafting key documents (customers, vendors, employment-related, etc.), presenting clear recommendations, managing third party law firms, and ensuring and guiding legal compliance across the business.

Principal Responsibilities

  • Handle a variety of legal business matters pertaining to the organization, including: overseeing operations for new and existing customer sales and renewals contracts and other corporate agreements; managing third party disputes; managing M&A due diligence and integration; managing patent and trademark program; overseeing legal document management and records retention; maintaining corporate record and minutes books; and generally supporting the executive leadership team from a legal perspective in new initiatives .
  • Manage team members of the global Legal Department including Contract Managers.
  • Responsible for the creation, preparation, review, negotiation, standardization and maintenance of all company contracts and contracting processes on a global basis.
  • Liaison with Sales and other departments to ensure delivery of high-quality legal services, coordination of deal exceptions controls, and ensuring high client satisfaction from initial customer RFP drafting to conclusion of contract negotiations.
  • Lead and manage complex contract negotiations including required cross-functional coordination with other departments.
  • Oversee global legal entity and related corporate activities including registrations, subsidiary D&O activities, etc.
  • Oversee software licensing, trademark, and other intellectual property programs.
  • Oversee data security, privacy and other compliance programs in close coordination with IT and Security departments.
  • Anticipate and advise against legal risks involving the organization.
  • Implement new processes, structures, and templates to respond to a fast moving market, new products and changing regulations.
  • Participation in Board meetings as the for the record Secretary and to provide input on strategic and legal matters.

Position Requirements

  • JD from an accredited law school.
  • Admission to any State Bar.
  • Minimum 10+ years of experience with strong corporate law background including contract review, drafting and negotiating experience and closing complex business transactions.
  • Experience managing legal in a global business with operations across the Americas, Europe and APAC.
  • Excellent ability to persuade, influence and negotiate with other attorneys, counterparties as well as internal stakeholders.
  • Software industry, contracting and licensing experience is highly preferred.
  • Intellectual property experience preferred.
  • Third party dispute and litigation management experience.
  • Experience with SEC reporting and compliance matters a plus, but not required.
  • Relies on extensive experience and judgment to plan and accomplish goals.
  • Performs a variety of diverse tasks while meeting specific deadlines.
  • Demonstrated strong ability to liaison with other departments.
  • Ability to work simultaneously with a large number of clients (internally and externally), and to handle a large number of contracts and other matters.
  • Experience prioritizing conflicting demands from multiple business clients in an extremely fast paced environment.
  • Experience adding in new policies, processes and software tools to facilitate procedural compliance and improvements where required.
  • Ability to manage to a budget including overseeing and ensuring the efficacy of relationships with outside law firms.
  • Experience with international data privacy standards as well as export/import and related regulatory restrictions and compliance methods.
