The General Counsel serves as the chief legal officer for the company. The General Counsel ensures that company operates within the law at all times, offer counsel on a variety of legal issues, serve as an effective guardian of the organization, facilitates business development, and manages outside counsel.

Management and mitigation of the impact of external factors to limit risk exposure is critical for this position. This position is responsible for the oversight of environmental and HR departments and manages a number of projects for other departments. This position is responsible for oversight of corporate governance and advice regarding the prudence of defending lawsuits and prosecuting. In addition, the General Counsel drafts commercial, employment, confidentiality, and vendor contracts, manages patents and trademarks, and drafts and preserves business records such as minutes of meetings and resolutions.

To ensure success the General Counsel will have sound knowledge and understanding of applicable laws and regulations, and the ability to make prudent legal decisions. Being a team player with outstanding advocacy and people skills is a must for this position. Human Resources Oversight

Supervise HR Manager

Ensure compliance with regulatory matters

Engage in legal review of disciplinary matters; coach on investigations and actions

Participate in wage and bonus review (globally)

Oversee engagement of advisors and brokers, including review and negotiation of terms of engagement

Direct and consult on insurance and 401K matters and engagements

Direct audits and engagement with state agencies

General employee consultation as required regarding personnel matters

Assist with problem solving as issues arise

Direct outside legal counsel

Assist UK and Indonesian HR Managers with non-routine issues

Engage with BOLI as required

Draft and review policies

Draft and review job descriptions

Provide expert and strategic legal advice to management

Evaluate and weigh multiple inputs and impacts of any decision or course of action

Anticipate issues and estimate risks strategically

Base decision-making processes on ethics and integrity

Create associations of trust and respect with key stakeholders

Establish credibility throughout the organization in order to be an effective listener and problem solver of people issues

Environmental Oversight

Direct US Environmental department regarding regulatory compliance and special projects

Engage consultants as required (environmental audit, safety compliance, groundwater consultants)

Direct outside counsel

Engage with EPA, ODEQ and OROSHA regarding inspections, compliance, and any violation issue that arises

Consult with safety manager regarding SAIF, compliance, and priorities

Work with team to develop proactive measures regarding EHS programs

Lead compliance work regarding new legislation

Monitor permit compliance matters

Review and assist with preparation of applications

Assist with UK environmental compliance matters - review and comment on reports and interface with EA as necessary

Lead REACH authorization process including providing compliance direction for monitoring programs and engagement of advisors

Direct supervision of US Environmental Manager

Direct UK groundwater program

Monitor monthly solvent consumption at US and UK plants

General Legal

Draft and review contracts, including sales, supply, purchase, NDAs, Material Analysis, licenses, government grants, general T&Cs, etc.

Monitor patent application process

Participate in annual Audit as required (e.g. legal audit letters, interviews, provision of minutes and contracts)

Develop, implement, and consult on compliance programs (e.g. FCPA, GDPR, UK Anti-Slavery, etc.)

Monitor for law changes in US, UK, Singapore and Indonesia

Direct Corp Secretary activities in the US, Singapore and Indonesia

Interact with Sales team regarding training and compliance issues

Assist with import/export issues

Direct outside counsel

Work closing with CFO regarding the intersection of financial and legal matters

Negotiate contracts

Develop relationships with critical business partners

Draft board minutes

Direct local, state and federal lobbying activities

Assist with standardization activities

Set internal governance policies and manage the impact of external factors

Identify proactive solutions that will eliminate or mitigate risks

Attract, develop, direct, motivate and drive performance from team

Participate in strategic planning and execution to enhance profitability, productivity and efficiency throughout the company’s operations

Collaborate with the management team to develop and implement plans for the operational infrastructure of systems, processes, and personnel designed to accommodate growth objectives

Foster a success-oriented, accountable environment within the company.

Deal with complex, significant matters that cut across legal and related areas

Provides advice and counsel on employee matters, company and governmental rules, regulations, and procedures, and need for compliance

Develops and maintains proper business relationship with all stakeholders

Maintains safe operations by adhering to safety procedures and regulations

This position typically interacts with employees at all organizational levels as well as outside vendor and broker representatives

This position requires extensive travel, including both domestic and international travel

Experience and Skills

Minimum Qualifications & Experience:

J.D. degree

Member of a state bar association and willing to become a member of the Oregon State Bar

At least ten years’ experience

Critical knowledge

Ability to read, analyze, and interpret business periodicals, professional journals, technical procedures and governmental regulations

Ability to perform arithmetic calculations and apply basic statistical and algebraic concepts

Overall broad legal knowledge

Corporate law background including M&A and finance

In-depth understanding of how legal issues affect organizations

Critical experience

Experience with solving practical problems and dealing with a variety of concrete variables in situations where limited standardization exists and interpret various instructions in written, oral, diagram, or schedule form

Ability to consistently exercise discretion and independent judgment on matters of significance, with little or no input from other sources

Skilled in organizational development, personnel management, budget and resource development, and strategic planning

Critical technical, professional and personal capabilities

Understanding and compliance regarding confidential nature of position.
