We’re currently hiring for the position of General Counsel – Corporate at our corporate office in Louisville, KY.

Essential Duties and Responsibilities:

Meet physical and sensory requirements stated below, and be able to work in the described environment.

Identify and participate in process improvement initiatives that improve the customer experience, enhance work flow, and/or improve the work environment of the legal department.

Effectively manage and develop in-house attorneys and paralegals, and select and manage outside counsel

Draft, review and negotiate various types of transactional documents including purchase and sale agreements, operations transfer agreements, leases and financing documents, managed care agreements, and others.

Negotiate and successfully close purchase and sale agreements, leases, and other transactions.

Prepare corporate documents.

Research, analyze and advise Chief Legal Officer and other members of senior management regarding laws and regulations affecting the organization’s business initiatives including healthcare provider systems.

Interact with the organization’s health care facilities and senior management as a liaison for the legal department.

Other special projects and duties, as assigned.

Job Requirements:

Juris Doctor (JD) degree required from an accredited U.S. law school.

Minimum of seven (7) years related experience handling corporate and transactional matters, preferably including experience in a corporate legal department. Health law experience preferred.

Admitted to KY Bar or eligible for KY Bar limited certificate of admission as in-house counsel.

Excellent verbal and written English communication skills.

Demonstrated skills in Microsoft Word, Excel, Power Point and Outlook, Internet and Intranet navigation.

Highest level of professionalism with the ability to maintain confidentiality.

Ability to communicate at all levels of organization and work well within a team environment in support of company objectives.

Customer service oriented with strong work ethic and the ability to work well under pressure.

Strong attention to detail and accuracy, excellent organizational skills with ability to prioritize, coordinate and simultaneously maintain multiple projects with high level of quality and productivity.

Strong analytical and problem solving skills with ability to exercise good judgment regarding the interpretation of policies and selection of courses of action.

Ability to work with minimal supervision, take initiative and make independent decisions.

Ability to deal with new tasks without the benefit of written procedures.

Approachable, flexible and adaptable to change.

Function independently, and have flexibility, personal integrity, and the ability to work effectively with stakeholders and vendors.

Qualifications

Experience Required

7+ years: Corporate and transactional matters, preferably including experience in a corporate legal department.
