In this newly created role within our organization, the General Counsel will report to the CFO and work collaboratively with the Chief Compliance Officer, Chief Accounting Officer, President, Founder/Chairman and other senior executives in the organization. In this role, the General Counsel will be an integral part of our strategic growth, with great visibility and advisory input to stakeholders. The right person will get to;

Draft, review and negotiate a wide range of legal contracts typical of healthcare and/or technology organizations including; MSA, confidentiality, vendor, and other business contracts. Write, review and negotiate a broad range of complex agreements with business partners, customers.

Research legal issues that could impact the way we do business including identifying applicable statues, judicial decisions and codes.

Support internal teams such as finance, compliance, sales, business development/M&A, data science, providing advice and legal perspective

Manage inside and outside legal, corporate governance, and policy-related efforts to ensure ongoing compliance with company standards, U.S. law, and government regulations. Handle legal disputes, litigation, and claims.

Collaborate closely with Chief Compliance Officer to ensure compliance with local, federal and state healthcare standards.

Advise on securities, disclosure and governance matters, and work daily with Chief Accounting Officer on accounting and reporting matters. Prepare and file with the SEC current reports on Form 8-K, proxy statements including drafting of CD&A section and proxy materials, and confidential treatment requests, and review and revise periodic reports on Forms 10-K and 10-Q, earnings releases and other press releases. Perform compliance function for insider trading, and prepare all Forms 144, 3, 4 and 5, and Schedules 13D and 13G for applicable insiders.

Oversee all Board and committee processes including preparing materials for meetings, attending meetings and drafting minutes of meetings, and communicate regularly with the Board of Directors on various corporate governance issues. Prepared Compensation Committee Charter, Annual Incentive Compensation Plan for purposes of IRS Code Section 162(m), Investment Policy, Disclosure Committee Charter, Transactions with Related Persons Policy, and Nominating and Governance Committee Charter.

Assist in preparation of equity-based compensation plan, advise the human resources department and outside stock plan administrator with respect to equity-based compensation matters, and prepare equity award agreements

REQUIREMENTS

J.D.

Active license with The California State Bar

10 or more years of legal experience, including 2 or more years of in-house experience in high growth public company

Exceptional drafting and communication skills; ability to convey legal advice clearly and effectively with employees at all levels.

Strong business acumen with an ability to balance legal and business requirements.

Willingness to "roll up your sleeves" and get work done without reliance on a team.

Excellent legal and practical judgment with strong problem-solving skills.

Results-oriented, with a high sense of urgency and good time management skills.

Must be flexible and highly organized with the ability to manage multiple projects simultaneously.

Exceptional drafting and communication skills; ability to convey legal advice clearly and effectively with employees at all levels.

Healthcare or technology company experience

Location: This position is remote, but the candidate should be in Southern California and willing to be in Santa Monica, CA for meetings when needed.
