General Summary

This position reports to the Vice President and Deputy General Counsel of University of Maryland Medical System (UMMS) and the President and Chief Executive Officer of University of Maryland Medical Center (UMMC). The UMMC General Counsel serves as a member of the UMMS Office of General Counsel and the UMMC senior leadership team. He/she promotes the interests and vision of UMMC by providing legal counsel to the organization and its leaders on a wide variety of matters through direct advice and representation in various forums.

Principal Responsibilities and Tasks

The following statements are intended to describe the general nature and level of work being performed by individuals assigned to this classification. Specific responsibilities may vary based on expertise and experience of the individual (e.g., regulatory, contracting, transactions).

As a member of the leadership team at UMMC, provides legal advice on a wide array of topics, including but not limited to, legal risk mitigation, strategic initiatives, service offerings, and growth initiatives.

Provides legal counsel and advice to the Board of Directors, medical executive committees, senior management, and other stakeholders within UMMC especially surrounding those issues pertaining to legal and compliance risks and liability and ways to minimize both. Evaluates and participates in strategic planning and develops legal postures.

In collaboration with the UMMC leadership team, provides legal guidance and services related to the UMMC strategic partnership with the University of Maryland School of Medicine, including, but not limited to, the review, revision and negotiation of the Annual Contract.

Triages UMMC legal issues and works collaboratively with other members of the UMMS Office of General Counsel to address and resolve them.

Provides day-to-day legal services to UMMC including development, review, revision, and negotiation of contracts for business partners (e.g., purchase and sale of goods and services, vendor agreements, licensing contracts, placement contracts, clinical research agreements, etc.)

Ensures UMMC’s compliance with federal and state regulatory requirements. Assists leadership in compliance enforcement by investigating potentially non-compliant behavior and reporting results to management. Advises leaders of regulatory requirements.

Provides advice and direction to managers and employees on operational issues including, but not limited to, quality of care, informed consent, termination of care, continuity of care and regulatory compliance.

Participates in the UMMC Legal Compliance Plan to assure compliance with legislative, regulatory and associated legal requirements.

Studies new and proposed legislation, regulations and healthcare industry trends and advises management about the impact of these changes on strategic planning, business planning processes and clinical growth and development opportunities for UMMC.

Regulatory work, including researching and interpreting federal and state laws, regulations, interpretive guidelines and court cases for corporate and health care issues

Develops, reviews and/or revises UMMC policies and procedures

Trains and educates UMMC team members and medical staff members regarding legal requirements and ensures conformity of policies and procedures to legal requirements. Develops, participates in and conducts training on current legal or regulatory topics of interest through in-service presentations.

Performs internal investigations

Reviews, evaluates and renders legal determinations concerning internal programs or projects and the implementation of state and federal government and accreditation requirements

Review inquiries/complaints from state and federal administrative, regulatory and other governmental or accreditation agencies, performs necessary research of the law and internal practices, coordinates, reviews, revises, and negotiates the response to the government agency

What You Need to Be Successful:

Education and Experience

Juris Doctorate Degree from an accredited law school.

Admission to the bar of a least one state, preferably Maryland.

Seven to ten years of progressively responsible experience as a practicing health care attorney.
