SUMMARY: Advising corporation concerning legal rights, obligations, and privileges.

DUTIES AND RESPONSIBILITIES:

· Studies Constitution, statutes, decisions, and ordinances of quasi-judicial bodies.

· Interprets laws, rulings, and regulations for corporation.

· Examines legal data to determine advisability of defending or prosecuting lawsuit.

· Acts as agent of corporation in various transactions.

· Represents corporation in litigation and other legal proceedings.

· Advises corporation concerning transactions of business involving internal affairs, stockholders, directors, officers and corporate relations with general public.

· Prepares, negotiates, and ensures documentation of all business customer contracts, indemnifications, label agreements and NDA’s.

· Conducts vendor contract reviews and risk assessments.

· Manages P&C insurance program.

· Provides customer collection demand letters, forebearances and judgements.

· Manages and negotiates real estate leases.

· Manages trademark applications.

· Manages acquired company license transitions.

· Creates and maintains tracking/administration system for customer contracts to improve customer service.

· Performs other related duties as assigned by management, such as reviewing HR policies, environmental issues, marketing materials, regulatory issues, and governance.

· May assist with contract review during due diligence for acquisitions.

QUALIFICATIONS:

· Master's degree (M.A.) or equivalent; or four to ten years related experience and/or training; or equivalent combination of education and experience.

· Proficient on MicroSoft Office products, such as Outlook and Word.

Experience supervising support staff in a corporation and/or with cost-effective management of outside legal resources.

Experience leading or playing a key counsel role in strategic partnerships

Experience working on matters of corporate governance and with a board of directors.

Experience with data protection and privacy practices as well as complex IP litigation cases.
