The General Counsel will have a thorough command of institutional fund vehicles, development joint venture structures, operating agreements, loan documents, guarantees, development services agreements, leases and construction contracts. As General Counsel, you will drive the legal process to navigate key business issues and deliver an efficient process in executing transactions. The General Counsel will ensure that the CRG platform is meeting the obligations of partnership agreements, ensuring legal compliance and mitigating risk exposure.

Specific Responsibilities:

Protect the interests of CRG and its Partners

Manage internal resources and outside counsel to coordinate legal execution of CRG’s strategic initiatives

Lead guarantor structuring and negotiations with capital partners and lenders; protect CRG partner interests through strict oversight of guarantor structures and entities.

Ensure compliance with all partnership agreements, operating agreements and loan documents

Ensure compliance with Clayco internal policies and manage the impact of external factors

Provide legal expertise and strategic advice to management

Coordinate the closing of transactions with thorough command of business points and how the various documents interrelate; operating agreements, development services agreements, loan documents & lease agreements.

Deal with complex, significant matters that cut across legal and related areas

Collaborate and coordinate with Clayco General Counsel on Clayco/CRG projects and overlapping internal matters

Attract, develop, direct, motivate and lead a performance-driven team

Evaluate and weigh multiple inputs and impacts of any decision or course of action

Anticipate issues and estimate risks strategically

Identify proactive solutions that will eliminate or mitigate risks

Base your decision-making process on ethics and integrity

Create associations of trust and respect with key stakeholders

Deal with external parties (regulators, external counsel, politicians, clients)

Draft agreements that minimize risks and maximize legal rights

Keep abreast of legislative changes pertinent to real estate transactions

Association Org and Governance Documents (Homeowner’s)

ROFO / ROFR; Repurchase Rights

Conveyance Deed

Settlement Statement

Plat

Zoning and other Entitlement re Development

Tenant Leases

SNDA

Estoppel

Closing Instruction Letter

Escrow Agreements

Disbursing Agreements

Zoning Letter

Construction Documents:

Design-Build Agreement

Plan / Spec AIA Forms

All AIA Forms

Architecture Agreement

Requirements

Proven general counseling experience in business environment

Overall broad legal knowledge (real estate, finance, economic development, leasing)

In-depth understanding of how legal issues affect organizations

Ability to develop legal strategy and objectives

Well-versed in how business operate with financial acumen

High degree of professional ethics, integrity and gravitas

Excellent judgement and analytical skills

First class interpersonal and communication skills

Ability to anticipate legal issues or risks and to “see around the corner”

Ability to develop business solutions & to resolve challenges in a collaborative environment

Licensed to practice in both MO and IL

Experience working in real estate, construction and business law

Experience working as part of an executive team, in a fast-paced, challenging work environment
