DESCRIPTION

Summary: The General Counsel position is responsible for providing expert advice and legal representation to the Company in leading the negotiation of agreements and contracts. The successful candidate will have municipal and or educational experience in managing data privacy and FERPA issues. Additional duties include managing claims against the company, drafting employment agreements, reviewing and negotiating vendor contracts, providing employment and labor law guidance and evaluating policy. The General Counsel practice area will regularly be called upon to exercise sound judgment when weighing in on sensitive agency matters that may be complex, confidential, and urgent.

Duties / Responsibilities:

Ability to lead the legal function by reviewing, revising and negotiating Company agreements and contracts.

Manage outside counsel with respect to claims against the Companies.

Create and implement corporate compliance policies and programs.

Provide general legal support to all departments including Marketing and Human Resources.

Advises leadership and senior management using in-depth knowledge of and skill in the interpretation of relevant laws and policies.

Manages and provides guidance on a wide variety of diverse legal matters confronted by complex school districts, but not limited to, federal education law, contract and procurement law, student privacy rights and other student-related matters, and government ethics.

Reviews, negotiates, and revises various agreements, including, but not limited to, memoranda of agreement, memoranda of understanding, procurement contracts, and technology licenses.

Prepares and presents legal memoranda and opinions on matters upon request.

Edits and evaluates attorney and client work product for quality and consistency.

Represents the Company with external stakeholders and the public.

Provides legal training, advice, representation, and guidance to leadership and management in the areas of policy and legislation, contracts, ethics, the Family Educational Rights and Privacy Act (FERPA), and Freedom of Information Act (FOIA) requests, among other things.

Participates in the formulation of and development of policies, procedures and programs.

Reviews new legislation proposed, evaluates its impact on the Company, and presents findings and guidance to senior leadership.

Communicates with leadership, outside attorneys, and outside organizations to coordinate activities, resolve issues and conflicts, and exchange information.

Reviews findings and reports prepared internally and by outside entities and provides guidance on how to comply and respond.

Advises of trends or problems and recommends appropriate corrective action.

Other duties as requested.

POSITION REQUIREMENTS

Required Qualifications:

Juris Doctorate from an Accredited Law School

2 or more years of relevant experience

Experience negotiating municipal and/or educational sector contracts

Proven experience managing Data Privacy and FERPA issues

Demonstrated technical mastery and use of judgment in the application of law to complex fact patterns.

Demonstrated skill in fact-finding, analysis, problem solving, writing, presentation, consulting, and conflict resolution techniques to identify problems and recommend solutions.

Preferred Qualifications:

3 or more years of relevant experience

MBA or additional business education

Experience working for a privately held company

Experience with private equity placement

Normal Working Hours and Conditions: Core business hours are generally 8:00 am – 5:00 pm. However, this position will require work to be performed outside of normal business hours based on Company operations.

Physical Requirements: Primary functions require sufficient physical ability and mobility to work in an office setting including verbally communicating, seeing and hearing to exchange information and fine coordination including use of a computer keyboard. Daily physical functions include standing, sitting and walking for prolonged periods of time and occasionally stooping, bending, kneeling, crouching, reaching, and twisting. The employee may engage in lifting, carrying, pushing, and pulling light to moderate amounts of weight up to 25 pounds. The position also requires the operation of office equipment requiring repetitive hand movement.
