TokenEx is looking for General Counsel to oversee the legal function. This position will work closely with C-Suite and revenue teams related to corporate legal matters, including updating and maintaining the terms of service for our subscription SaaS platform, negotiating master service agreements with enterprise clients, managing governance, risk, and compliance for the organization, as well as overseeing all external counsel relations for the company.

Advise and partner with executive team, senior management, and board on legal matters, corporate transactions, compliance, regulations, privacy issues, and agreements.

Oversee contract negotiations for commercial deals and manage master service contracts, specifically, enterprise-level, to manage company risk plus rapidly changing privacy landscape.

Designated Data Protection and privacy officer of the company responsible for managing regulatory compliance, data security addendums, and ensuring mutual agreement for compliance (vendor agreements).

Assist the technology team with our Intellectual Property (IP) strategy and managing 3rd party counsel resources on patent filings.

Identify potential areas of compliance risk/vulnerability and develop additional policies and procedures to minimize those risks.

Manage, supervise, and assist professional development of staff attorneys and GRC personnel to ensure qualifications for advancement and prompt turn around on contracts and related activities, especially as it relates to revenue generation.

Review standard contracts and renewals for approval, as well as proper legal language and provisions

Conduct and supervise legal research and review of the company's litigation strategy pertaining to legal actions.

Compile and analyze information from legal reviews to propose revisions to compliance policies and procedures as needed.

Maintain familiarity with regulatory developments to identify the potential impact to TokenEx business.

Qualifications

Juris Doctor degree from accredited, top-tier law school

4+ years practice with a corporation or combination with private practice

Familiarity withSaaS contracts and well versed in privacy laws and regulations (PCI through numerous formats of PII)

Privacy expertise (i/e HIPAA, GDPR, PCI, CCPA and other various of types of regulations)

Excellent verbal and written communication skills

Knowledge of statutes, rules, and regulations pertaining to businesses

Proficient understanding of business sensitivities and confidentiality
