Job Description NATURE AND SCOPE

Fluor Federal Petroleum Operations, LLC (FFPO), a wholly-owned sole purpose subsidiary of Fluor, is the Management and Operations Contractor for the U.S. Department of Energy’s (DOE) Strategic Petroleum Reserve (SPR), headquartered in New Orleans Louisiana. FFPO has an opening for a General Counsel. The selected candidate will provide legal leadership and support to FFPO/SPR’s programs and directorates, the FFPO President and functional support organizations on the full range of legal, business and compliance issues that can arise in the operation of federally owned, federally-financed facilities. The selected candidate will have full responsibility for managing all aspects of the FFPO Office of General Counsel.

The selected candidate will be expected to give legal guidance and independently handle matters of considerable complexity and importance to FFPO and the SPR, often implicating the interests of multiple stakeholders, and to provide legal leadership to FFPO-wide policy and process initiatives pertaining to business systems, internal controls, human resources, ethics and compliance and environment, safety and health. Will represent and defend FFPO/SPR on complex legal matters. Will solve legal issues that are diverse and multi-faceted in scope with significant impact on FFPO/SPR operations.





ESSENTIAL DUTIES

- Provide legal guidance on all aspects of FFPO’s business; may include transactional advice, human resources advice, prime and subcontracts advice, corporate governance, real estate, environmental and basic tax matters.
- Manage the FFPO Office of General Counsel, including the budget and staff of at least two other attorneys.
- Draft and review business formation and governance documents as well as contracts, licenses and other documents related to business operations.
- Draft or provide advice on the drafting of policies and procedures for procurement and contracting, for human resources, for the compliance and ethics program, and for other business and compliance-related activities.
- Protect the interests of FFPO in litigation and claims matters, hire and manage outside counsel and administer the FFPO Litigation Management Plan.
- Provide legal guidance to executive and senior management personnel and assist in development of FFPO policy.
- Assume a leadership role with management and other senior functional personnel on multi-disciplinary teams.
- Perform all assignments in accordance with all applicable Fluor and FFPO practices and policies.
- Analyze and interpret laws, contracts and regulations and draft legal guidance on complex issues.
- Solve legal issues that are diverse and multi-faceted in scope with significant financial impact on FFPO operations.
- Plan and execute legal strategies and solve complex problems with potential SPR-wide significance.
- Coordinate all of the above, as appropriate, with Fluor Government Group Law Department.
- Be familiar with and able to work closely and cooperatively with the FGG Law Department, including Law Department attorneys and Managing General Counsel.

Degree Required Yes Basic Job Requirements - Juris Doctorate degree from an accredited law school, licensed to practice law in a state of the United States, eligible to obtain/maintain an in-house counsel license to practice law in the State of Louisiana, and strong computer skills including Microsoft software.

- At least 12 years experience practicing law.

- Eligibility to obtain or maintain a DOE security clearance.

- Demonstrated advanced analytical, communication, and leadership skills.

- Demonstrated expertise in successfully identifying legal risks surrounding human resources matters managing issues, controversies, and disputes as they arise.

- Advanced public speaking and presentation skills.

- Demonstrated comprehensive knowledge/understanding and significant experience practicing business law in a setting requiring substantial client contact and the application of independent judgment.

- Significant experience in negotiations involving multiple stakeholders.

- Significant experience drafting complex contractual agreements and negotiating settlements.

- Demonstrated success in leading multidisciplinary teams tasked with solving complex problems/disputes in an environment implicating the interests of multiple stakeholders.

- Significant experience in drafting formal and informal legal guidance and policy documents.

- Significant experience working within a multi-tiered corporate structure and successfully coordinating up, down, and across that structure. Preferred Qualifications - Federal government contracting experience. Knowledge of DOE/DEARs and Management and Operations (M&O) contracting is desired, but not necessarily required.

- Human Resource experience, including significant experience providing legal advice within the U.S. Government Contractor environment.

- Compliance and ethics experience, including experience in the Government Contractor environment.

- Experience working on DOE M&O contracts and with DOE counterparts is highly desired. Other Job Requirements - Work in an office. May also need to work at project sites with requiring certain personal protective equipment (PPE) and project conditions. May also work at off-project sites representing the organization at various types of locations for business purposes. Able to work remotely with government supplied computer and interact effectively with staff via on-line communications
