POSITION SUMMARY:

General Counsel, Chief Compliance Officer and Corporate Secretary is responsible overseeing all legal, compliance and procurement matters involving the parent corporation, multiple debt and equity funds and more than 50 special purpose entities engaged in nationwide commercial lending in the education, affordable housing, health care, healthy foods and assisted living industries.

Member of the executive management team reporting to the President & Chief Executive Officer. Involved in all aspects of strategic planning and material business decisions impacting an enterprise with investments of more than $2 Billion nationwide and offices in 3 locations.

JOB RESPONSIBILITIES:

Provide day-to-day leadership for all assigned functions. Leads through collaboration, innovative management concepts, and initiatives to meet program goals and objectives within available resource allocations and in the most effective and efficient manner.

Manage risk, structure and close all capital markets and corporate transactions and all core commercial lending transactions, and fulfill all grants and contracts in-house.

Manage an in-house Legal Department and a network of outside counsel providing support to all business units on a wide range of issues in the areas of corporate law, corporate governance, commercial lending, real estate, tax, employment, litigation and commercial contracts.

Manage a staff of compliance and procurement professionals responsible for managing all compliance related obligations, including investor, programmatic, contractual and regulatory reporting obligations, and fulfilling all corporate grants and contracts.

Manage attorneys working to close all capital markets transactions and all strategic transactions, including secured and unsecured credit facilities, debt and equity funds, public debt offerings and corporate investments.

Manage attorneys working to close all core commercial loan transactions, including highly structured and tax-advantaged transactions, such as New Markets Tax Credit transactions.

Manage all aspects of the formation, governance, funding and legal compliance of tax-advantaged special purpose entities, sector-specific structured loan funds and operating subsidiaries.

Serve as the Secretary and primary liaison to the Board of Directors and its committees; report to and advise the Board with respect to all corporate governance, legal and compliance matters; provide compliance and ethics training and orientation to the Board; maintain the corporate governance structure across the enterprise.

Develop and maintain corporate policies and related procedures; provide related training to staff.

Develop and manage the annual Legal Department budget.

Staff and Executive Leadership

Work collaboratively across the organization, sharing knowledge and building trust, demonstrating leadership through effective delegation, mentoring, and team-building. Shares information, perspective, and expertise.

Oversee all hiring within the department and works to attract, retain, and develop team members.

Support the mentoring and training of staff members on the intricacies of structuring complex lending transactions.

Develop performance standards, sets job expectations, and gives ongoing feedback and annual performance ratings to direct reports.

Participate in the creation of and periodic reporting of results of Capital Impact’s Balanced Scorecard.

JOB REQUIREMENTS:

Juris Doctor from an accredited school of law required.

A minimum of 15 years of experience in the field of banking, corporate and/or commercial law

Admitted to the Virginia and District of Columbia State bar required.

Maintain the requirements for bar license by attending necessary continuing legal education courses, with a study emphasis in real estate, construction and corporate law.

Substantial experience within in-house legal departments managing cross-functional teams comprising multiple business units and attorneys on large-scale mission critical projects, and within a law firm environment as a manager of public and private, domestic and multi-party business transactions.

Must be able to prepare and negotiate a variety of types of documents concerning residential/commercial/mixed-use real estate, including leasing, acquisitions, disposition, construction, financing and development. Draft and oversee modifications and extensions, and foreclosures actions as needed.

Strong strategic planning and organizational development skills.

Proficiency with written and oral communication skills.
