Responsibilities:

• Oversee all legal matters pertaining to intellectual property (IP) strategy and manager for the company.

• Oversee negotiation and completion of agreements, confidential disclosures, material transfer, licensing agreements and other IP-related matters.

• Conduct in-depth analyses of competitor products and IP portfolios.

• Performing opposition, IPR, and litigation-related support activities in IP disputes.

• Advise on export and import compliance, trade sanctions, licensing, disclosures, customs, and compliance audits, as well as on other regulatory compliance matters.

• Conduct analysis of trade laws and regulations applicable to SkyWater Technology, and prepare internal reports regarding the policy landscape, as well as the impact to SkyWater’s business strategy

• Provide guidance regarding mergers and acquisitions and regulatory compliance including due diligence on potential mergers and acquisitions and freedom-to-operate assessments that drive strategic acquisitions and product development.

• Advise C-level executives and board of directors on various matters such as legal rights, and new and existing laws.

• Manage the organization’s legal matters and develop practices to ensure compliance with all relevant legal matters, including data privacy and security.

• Oversee corporate governance and legal strategy regarding prosecution and defense of lawsuits, arbitration and related conflict resolution matters.

• Manage outside counsel including reviewing outside counsel work to ensure the work, methodology and strategy.

The job also requires performing other duties as assigned. Percentages of time spent on job duties are estimates and may vary for each position.

Required Qualifications:

Education: Juris Doctor Degree and admission to MN state bar

Experience and Skills:

• 5+ years practice with an established law firm and/or in-house intellectual property experience in a private, public, government or military environment.

• Experience prosecuting patent applications, conducting agreement review and negotiations, as well as possess significant in-house IP experience, preferably in a technology industry.

• Proficient legal experience in company valuations and M & A due diligence.

• Demonstrated experience with compliance program management, including creation/revision of compliance documentation, and successful implementation of policies, processes and training programs

• Business acumen and an ability to provide legal and compliance advice in the context of strategic business initiatives and goals.

US Citizenship Required: This position will require the holding of or ability to obtain government security clearance which requires U.S Citizenship.

Preferred Qualifications:

Education: Bachelors’/Masters’ degree in business finance or engineering

Experience and Skills:

• Experience serving as legal counsel within the technology industry
