Our network serves unconnected machines, sensors and IoT devices on farms, roadways, borders, mountains, and oceans. We’re a team that’s mission-oriented and focused on operating a highly efficient, reliable, end-to-end machine and sensor data mobility service on a global basis. Skylo recently raised an aggregate of $116M and is preparing for notable scaling in 2020.

We are looking for a proven attorney to optimize our organizational strategy and approach regarding legal matters. The General Counsel will support drafting and negotiation of IT, employment, vendor, sales, supply chain and distribution contracts and spectrum leases; manage patents, copyrights and trademarks; and perform all traditional functions associated with the position. The General Counsel also will be broadly responsible for and support the VP of Finance in compliance, insurance matters and human resources. You will provide guidance and manage outside counsel and consultants globally regarding mergers and acquisitions, regulatory compliance, business development and consumer protection. You will oversee corporate governance and legal strategy regarding the prosecution and defense of lawsuits, arbitration and related conflict resolution matters.

To ensure success you need to have sound knowledge, judgment and understanding of applicable laws and regulations, and the ability to make prudent, strategic and effective legal decisions. Top candidates will be team players in an extraordinarily fast-paced environment with outstanding advocacy and interpersonal skills. You will draw on your experience and familiarity with commercial, tax, intellectual property and telecommunications laws, cultures, concepts and practices around the world.

Responsibilities:

Advising CEO, Board of Directors and senior management on various matters such as legal rights, and new and existing laws.

Closely integrate, support and align with C-suite leaders.

Managing the organization's legal matters and developing practices to ensure compliance with all relevant legal matters, including data privacy and security.

Examining, negotiating and creating all forms of commercial agreements, including those relating to the supply and sale of telecommunications services and products, including component production, shipment, and logistics, as well as nondisclosure, employment and consulting agreements.

Interacting with investor legal departments and regulators.

Proactively anticipating legal issues to address.

Corporate governance; maintenance of corporate records; handling statutory filings.

Management of outside counsel and growing an internal legal team as business scales.

Creating new entities and managing organization's intellectual property.

Requirements and Preferred Experience and Capabilities:

Juris Doctor degree from top-tier law school. Undergraduate/graduate degree in business, finance and/or engineering desirable.

8+ years practice with an established law firm.

California Bar admission is highly desirable.

Thorough understanding of telecommunications concepts, cultures and regulatory environments, including global tax and technology issues, particularly in the U.S, India and South Asia.

Proficient legal experience in company valuations, fund investments, venture capital financing and performance of M&A due diligence.

Experience with corporate governance issues.

Understanding of data collection, use and transfer laws, regulations and concepts on a global scale.

Experience in satellite business, including capacity leasing, construction and financing of dedicated satellites.

Experience in building, managing and mentoring a legal team.

Excellent verbal and written communication skills.

Knowledge of statutes, rules and regulations pertaining to businesses in Skylo's market areas.

Proficient understanding of business sensitivities and confidentiality.
