Diamond Foundry Inc. is one of fastest growing, profitable technology startups. Creating the future of diamonds for jewelry and semiconductor applications, we use proprietary plasma reactor technology to produce high-quality diamond without carbon footprint and sell diamond jewelry online via our VRAI direct-to-consumer brand.

We are looking for a business-driven General Counsel to join our growing team. This role is very hands-on in the day-to-day with the ability to execute at a leadership level. An ideal candidate must understand issues surrounding data privacy/protection, IP protection, possess a good understanding of international supply chains, sales channels, manufacturing, both D2C and B2B businesses and must be able to provide strategic alternatives and ideas on both legal issues and business issues affected by legal considerations. This role will be part of making strategic operational decisions, provide guidance and support the rapid scale of the organization.

As the General Counsel, Corporate position’s primary responsibilities include:

Review, draft, negotiate, and execute a wide range of routine and mission-critical contracts, agreements, licenses, and other legal agreements that support and enable business operations

Lead all required compliance audits

Address pertinent issues relevant to business and product initiatives including: Intellectual property protection, compliance and safety requirements, consumer privacy and data protection

Advise leadership and company on standard startup legal matters, including, but not limited to; Employment agreements, bilateral commercial agreements, privacy agreements, standard user terms and conditions, and cap-table related corporate legal matters

Anticipating unique legal issues and "blind spots" that could have a material impact on the company's compliance

Staying abreast of relevant legislative and regulatory developments

Negotiating business deals with major customers

Requirements:

A minimum of three years corporate commercial and transactional law experience in firm and/or in-house environments

Law degree from a reputable university

Member in good standing of a recognized bar association; admission in CA will be required

Financial services regulatory expertise

Breadth of legal knowledge across disciplines relevant to most startups (corporate law, litigations, etc.)

A solutions-oriented mindset geared towards growing the business successfully rather than simply policing in-house activity

Strong experience in managing international entities including setting up and filings

Strong analytical, interpersonal, drafting, negotiation, and written/verbal communication skills

Excellent judgment with the ability to balance competing priorities and meet tight deadlines

Excellent organizational skills with high level of attention to detail and accuracy

Proven ability to lead transactions and projects

Demonstrated ability to proactively identify and resolve problems

Practical team player with the ability to professionally collaborate in a results-oriented environment
