Central Logic is currently seeking a General Counsel who will work directly in our St. Paul, MN office. This position requires a self-motivated, business-minded, and confident attorney with excellent interpersonal skills, an ability to manage changing priorities and a broad range of legal requests, combined with a desire to improve efficiency in the legal process. The successful candidate needs an understanding of and experience with SaaS agreements and will be expected to effectively negotiate agreements related to procurement, inbound software and services providers, partnerships, as well as supporting the sales team in responding to RFPs/RFIs. A trusted and valued member of the management team, the General Counsel will be fully involved in the business, advising the CFO in a way that transcends the role typically played by an attorney.

Duties And Responsibilities

RESPONSIBILITIES:

• Draft and negotiate a broad range of standard and non-standard commercial agreements related to SaaS subscription and implementation services as well as other technology and vendor agreements.

• Create and revise other legal documentation, policies, guidelines and standard forms

• Research and stay abreast of changes to relevant law and regulations, including privacy and data protection requirements, and ensuring compliance

• Work in real-time through regular interaction with internal and external clients regarding legal and regulatory requirements, and overall enterprise risk management.

• Create, maintain and update templates as required to improve workflow and efficiency

• Communicate with business partners about regulatory obligations and risk management processes and facilitate achieving business objectives while managing compliance requirements.

• Advise and support People & Culture on matters related to labor and employment issues

• Participate in merger & acquisition due diligence, deal negotiation, and integration activities

• Manage the intellectual property, including trademark, trade secrets, and copyrights of the organization.

• Some occasional travel may be required.

• Other duties as assigned.

QUALIFICATIONS:

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.

• J.D. or LL.B. degree with outstanding academic credentials.

• Active and in good standing in at least one State Bar in the United States.

• Minimum of 4 years of relevant legal experience, with a law firm or in-house.

• Experience with drafting and negotiating SaaS Software contracts.

• Experienced with data handling for PHI, PCI, and data privacy.

• Knowledge of intellectual property and privacy law.

• Knowledge of HIPAA requirements and experience in reviewing and negotiating BAAs is preferred.
