The Work You'll Do:

Sovos is a really exciting place to be right now. We are a fast growing, private equity backed, enterprise software organization who sits as a leader in our industry. We are looking to add a VP, General Counsel (GC) to be responsible for the Legal function here. The GC will lead the global Legal team (15+ employees in numerous countries) in negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for the company and its clients, including license agreements, partner agreements, real estate leases, confidentiality agreements, employment agreements, insurance, and other general business contracts both domestically and internationally. The GC will participate in key merger and acquisition workstreams, including legal compliance, due diligence, and integration. The GC will also coordinate with outside counsel and private equity sponsors as a key part of the function.

More specifically, you will:

Creates vision and provides strategic direction to the global Legal function by communicating, engaging and training each member to levels of high achievement

Ensures alignment with company objectives and global Legal best practices and offers counsel on a variety of legal issues

Negotiates, writes, and executes agreements and contracts, including company license agreements with customers, partnership agreements, and insurance matters

Advises executives and Board members on legal risks, regulatory and compliance mandates, and status of key legal initiatives

Anticipates issues, estimates risks, and collaborates with executives on risk mitigation strategies.

Assesses merits, develops and executes legal strategies related to court filings against or on behalf of the company. Performs pre-litigation work to minimize risks and maximize legal rights

Advises executives within the company and work alongside employees in Strategic Business Units, Sales, Marketing, Brand Communication, Finance, Human Resources, and Corporate Alliances

Leads legal due diligence, strategic partnership deals, mergers and acquisitions integration and transformation

Researches unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes; keeps abreast of legislative changes that may affect the company and its affiliates

Oversees preservation of corporate records, including creating and maintaining corporate legal entities

Manage commercial insurance policies and claims

Reviews advertising and marketing materials to ensure compliance with legal requirements

Provides training to company and its affiliates on substantive legal topics

Develops trust and models open, candid, respectful communication, and collaborative teamwork

Explains legal language and helps write in plain language for others to understand

What We Need From You:

At least ten years of progressive work history in a law firm environment, corporate law or equivalent with focus on technology

Proficient legal experience in the following areas of law: software licensing (including software as a service), M&A, employment, securities, antitrust, litigation, compliance, information security and privacy

Broad experience in intellectual property law including patent law, licensing of IP rights, and IP due diligence

Experience working on matters of corporate governance and with a board of directors is required

Ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, investors, and business associates

Experience managing other attorneys and supervising support staff in a corporation is required as well as experience with cost effective management of outside legal resources

Strong interpersonal, presentation, and negotiating skills to quickly establish rapport and credibility at all levels within the prospect and Sovos organizations, including C- and board level.

Ability to structure deal aspects to achieve win-win negotiation results

Strong overall work ethic and tolerance for ambiguity with desire to operate in a practical, hands-on environment

Excellent written and oral communication skills and high degree of self-awareness and commitment to personal development and learning

Acts with integrity and demonstrates ethical behavior in all matters with all stakeholders

Proficient understanding of business sensitivities and confidentiality

Due to clients with federal contracts – the successful candidate will have to clear a background check and drug test
