THE POSITION

The Chief Counsel, Corporate Transactions is a C-suite facing, highly visible strategic role responsible for the legal support of enterprise level transactions for a rapidly growing $1.8 billion public company. The role, reporting to the General Counsel, will be a part of the global Legal & Risk leadership team that has the reputation as valued business partner.

More specifically, the Chief Counsel Corporate Transactions:

Will provide end to end support for TTEC Corporate Development function from deal origination (indication of interest) through due diligence, deal structuring, documentation, negotiation and closing.

Will deliver legal support for global M&A transactions, leveraging specialist outside counsel where appropriate, but relying on in-house expertise to drive most deals.

Will help structure, negotiate, and document joint ventures, strategic partnerships, and alliances around the globe.

Will support TTEC real estate function, focusing on right sizing where appropriate and expanding where appropriate our global lease portfolio, helping to reshape the business that has transitioned to large scale work from home delivery during COVID-19 crisis and while intends to leverage work from home opportunities in future business.

Will support Treasury and finance functions with TTEC’s evolving borrowing and capital needs, including the credit revolver, receivables factoring agreements, and other complex financial transactions. Partner effectively with outside counsel on support of larger and more complex transactions.

Will partner with tax, finance, human capital, and information technology organizations to drive strategic deals for the business.

Will develop standardized templates for M&A, strategic alliances, and real estate deals.

Will recommend best practices in risk smart M&A approaches and risk mitigation solutions through deal creative deal structuring, thorough due diligence and integration activities.

Will advise deal stakeholders on optionality in deal structuring (in partnership with tax, finance and accounting) and risk allocation strategies based on prevailing market best practices.

Will oversee and effectively manage support of outside counsel around the world where appropriate.

Will stay current on changes in applicable laws and regulations that may affect TTEC’s M&A activity, specifically the issues of Delaware law and other relevant corporate governance bodies of laws in countries where we seek M&A opportunities.

Will collaborate with tax and accounting on proper corporate governance issues related to M&A and real estate transactions.

Will partner with treasury, accounting, and operations on intercompany transactions and parent company guarantees.

Will collaborate with the Legal leadership team to meet the department’s overall goals and objectives

Will have strategic mindset with a problem-solver orientation to get projects over the finish line

THE PERSON

The Chief Counsel, Corporate Transactions that TTEC is looking for will be a hands-on, effective transactional lawyer who thrives on enabling business through strategic transactions, and who would have can-do mindset with a problem solving orientation to get right deals over the finish line. The candidate we seek will have a combination of many of the following experiences and skills

Experience with M&A and corporate governance in a large law firm and/or in-house in senior role for an acquisitive company;

Experience with public companies (not a must but a major plus).

Experience with companies or transactions outside of the United States (strongly preferred).

Experience with Financial (borrower side) transactions (a major plus).

Experience with services and/or technology companies.

Experience with Hard Scott Rodino (HSR) Act compliance.

Familiarity with the US Bankruptcy Code (not a must but a plus).

Strong drafting skills focused on a balanced risk allocation approach aimed at getting right deals done on right terms, not at endless negotiation for ‘sport’.

Must be able to listen, consult, collaborate and interact effectively across the organization; must be equally effective with the CEO and a junior analyst.

Must combine excellent listening skills with tough-mindedness; be able to offer critical review, but with a strong sense of partnership; offer pragmatic and clear guidance/feedback to help solve business problems.

Must have multi-cultural awareness and experience would be a major plus for this role

Must be a lifelong learner who enjoys getting to know the business and our clients.

Must effectively manage to deadlines and expectations.

Must communicate effectively about the ‘art of the possible,’ be able to adjust communication approach to the audience at hand, have executive presence that clients trust.

EDUCATION

JD from a top-tier accredited law school is required.
