The General Counsel is the head of the corporate legal department and is responsible for the global legal affairs of the company. This role includes providing legal counsel to the board of directors, chief executive officer and other senior management. The General Counsel must possess strong initiative, excellent management and leadership skills, and a strong business acumen. The successful candidate will be able to ensure legal compliance and limit risk exposure while helping the company grow and accomplish its business objectives.

As General Counsel at EngageSmart, you will have the opportunity to be a strategic leader, trusted thought-partner, and sage advisor on legal and business issues. You will set the vision and leadership of EngageSmart global legal strategy and services, and the management of risk throughout the organization. Working closely with each business unit’s CEO and Board of Directors, you will help build the business and future of our company. You will also help address new and exciting legal issues as we grow in revenue, headcount, and complexity.

The General Counsel Is Responsible For

Legal Guidance and Compliance

Engage directly with executive leaders across EngageSmart to understand company priorities and goals, trends in our business, and other issues facing our employees and business

Advising executive, senior management and board on various matters such as legal rights, and new and existing laws.

Managing the organization's legal matters.

Reviewing and creating agreements, such as employment, customer, and vendor agreements.

Maintaining knowledge of organization’s operations and legal documents.

Conducting legal research and reviewing company's litigation strategy pertaining to legal actions.

Lead company-wide regulatory compliance, including international regulatory matters

Lead all aspects of commercial contracts and technology transactions; privacy and data security matters; labor and employment and litigation matters; stock administration functions, as well as legal operations; intellectual property; real estate; mergers and acquisitions, joint ventures and other strategic partnerships and investments

Provide legal advice in thinking about new product development and market expansion both domestically and internationally

Ensure the availability and quality of proficient, timely legal services, processes, and systems across the company—including selection and retention of outside counsel

Develop creative, well-reasoned and analyzed solutions satisfying both business and legal interests,

Oversee departmental financial processes including the annual budgeting and quarterly forecasting report

First 30 Days

Get to know and develop and understanding of all relevant stakeholders in the headquarters and group operating entities, building relationships along the way.

Understand business needs and legal mandate

Take stock of the organization’s legal and governance processes to fully understand the compliance and governance issues facing the organization and industry.

60 Days

Build a solid grasp of the organization’s risk landscape to allocate legal resources effectively and support fast business decisions.

Understand compliance and privacy program efficacy to identify potential gaps and areas for improvements for quick wins during the first few months in role.

90 days and Beyond

Create or revise a formal legal department strategy to help quickly articulate legal’s impact on corporate and business goals and serve as a guidepost for resource allocation and business conversations.

Structure the team to ensure legal services and resources are aligned to specific business goals, provide more effective support, and increase the value of legal.

Set metrics early and align them to specific legal department goals and initiatives to ensure reporting focuses on the legal department’s role and value.

What We Seek:

Strong academic credentials and J.D. from a nationally recognized law school

Current member in good standing of a state bar, preferably Massachusetts

12+ years of experience leading the legal function and team as GC or DGC at a publicly traded technology company, preferably in SaaS or FinTech.

Proficient legal experience in M&A, technology, and Compliance (e.g. SEC compliance)

Exercise outstanding judgment, legal reasoning, risk assessment, and business insight

Experience as leader of a legal professional team, with proven ability to build and grow legal talent

Ability to provide effective advice in the context of business objectives and to execute in a fast-moving culture

Ability to calibrate risk to support innovation while appropriately protecting the company

Skilled to optimally represent the company externally with regulators, business partners, and service providers

Have partnered with all levels and cross-functional partners, from executives and Board members to engineers

Strong communication and social skills, and team orientation

A bias towards action and the ability to work well in a fast-paced and constantly changing environment
