As General Counsel and Vice President of Legal Services this person is responsible for the legal affairs of the entire corporation. This role includes providing legal counsel to the Board of Directors, Executive Chair, Chief Executive Officer and other members of senior management. As a senior executive of the corporation, the General Counsel and Vice President of Legal Services also acts as a strategic business partner by providing advice and oversight in numerous areas – including ethics, privacy, transparency, data collections and storage, and regulatory concerns. Will be accountable for researching law, investigating facts, preparing documents, and for leading various corporate strategic and tactical legal initiatives. The role will manage the legal function (including supervisory responsibilities), have budgetary responsibilities, obtain and oversee the work of outside counsel, and be directly involved in product development and all complex business transactions and contract negotiations.

As Privacy Officer this person is responsible for overseeing all ongoing activities related to the development, implementation, and maintenance of the corporation’s privacy policies in accordance with applicable federal and state laws including, but, not limited to, the Health Insurance Portability and Accountability Act of 1996 (Public Law 104-91) (“HIPAA”) and the regulations promulgated thereunder, including, without limitation, the regulations codified at 45 C.F.R. Parts 160, 162, and 164, all as amended from time to time.

Essential Duties and Responsibilities

Engage directly with executive leaders and others across the company to understand its priorities and goals, trends in the business, and other relevant issues. Effectively collaborate with employees at all levels of the Company.

Lead all aspects of the company’s legal function, such as corporate governance, mergers and acquisitions, contracting (including government contracting), privacy and data security matters (including incident response); crisis and risk management, labor and employment and litigation matters; stock administration functions, as well as legal operations; intellectual property; real estate; joint ventures and other strategic partnerships and investments.

Lead all aspects of the company’s privacy program, such as the development, implementation, and maintenance of the company’s privacy policies and procedures, monitoring for compliance, ensuring proper training occurs, and establishing and administering a process for receiving, documenting, tracking, investigating, and taking action on all privacy related complaints.

Lead all aspects of the company’s Application Team (the team responsible for making all required regulatory submissions needed for a client to participate in a commercial payor or CMS sponsored program).

Support the development, implementation, and ongoing operation of applicable programs and services (e.g., the Medicare Shared Savings Program and the 340B Drug Pricing Program).

Ensure the availability and quality of proficient, timely legal services, processes, and systems across the company—including selection and retention of outside counsel.

Create and foster (through both words and actions) a culture of ethics and compliance with the law. This includes initiating, facilitating, and promoting activities to foster information privacy awareness within the organization.

Participate in the development of policies, procedures, and programs.

Maintain current knowledge of applicable federal and state law (including, but not limited to, the Medicare Shared Savings Program (MSSP), the 340B Drug Pricing Program (340B) , and all applicable state privacy laws), and monitors advancements in information privacy technologies to ensure organizational adaptation and compliance.

Qualifications

Education/Experience:

Law Degree.

Member in good standing of Missouri bar; or member in good standing of another US state bar, subject to admission to the Missouri bar within one year.

Minimum of 5 years of in-house counsel experience or 8 years of combined in-house and private practice experience.

Subject matter experience:

Required: corporate governance, contracts, employment law, data privacy, HIPAA, mergers and acquisitions, intellectual property, risk management, managing outside counsel, project management, and legal operations (including supervisory responsibilities).

Desired: Medicare Shared Savings Program, 340B Drug Pricing Program, health law, governmental contracting, insurance, internal audit, product development support.

Demonstrated ability to write effective business legal reports and correspondence.

Ability to effectively present information to senior management.

Ability to respond to inquiries from regulatory agencies, customers and business community.

Experience resolving conflict between groups with opposing perspectives, agendas, or priorities.

Self-assured and confident in a variety of settings with a strong belief in own capabilities

Language Ability

Read, analyze and interpret scientific and technical journals, financial reports and legal documents. Respond to inquiries or complaints from customers, agencies or members of the business community. Write speeches and articles for publication.

Mathematical Ability

Calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference and volume. Apply concepts of basic algebra and geometry.

Reasoning Ability

Solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Interpret a variety of instructions furnished in written, oral, diagram, or schedule form.

Computer Skills: Proficient with Microsoft Office Suite.

Supervisory Responsibilities: This position will have supervisory responsibilities.
