Rye Development, the leading developer of new hydropower in the US is seeking to fill an open General Counsel position. Rye is a small senior level team with a focus on developing new hydropower at scale in 8 states across the US. The ideal candidate would have experience in and exposure to a wide range of issues associated with project development in the renewable energy industry. These include: land rights, water rights, regulatory proceedings, utility proceedings, offtake contracting, interconnection and transmission agreements, procurement and construction contracts as well as a host of typical corporate legal work including corporate law, mergers and acquisitions (including joint ventures and partnerships), and project finance. We generally work remotely and offer a great deal of workplace flexibility. We would expect this position to require periodic travel in the future.

Responsibilities: (including but not limited to)

· Critical review of agreements documenting transactions involving the sale or purchase of hydropower equipment, both mechanical and electrical

· Critical review of agreements documenting EPC or similar arrangements for the construction of renewable projects

· Critical review of power purchase agreements, physical and financial hedging agreements (including ISDAs and VPPAs), equity and asset purchase agreements, EPC/BOP agreements, interconnection agreements, permits, FERC matters, environmental matters (such as compliance with federal and state endangered species laws), ISO/RTO tariffs and market rules, O&M and asset management agreements, and related project agreements

· Support project development by providing legal counsel and advice in the normal course of business.

· Familiarity with consulting services agreements, master services agreements, third party engagement letters, non-disclosure agreements and other routine general contracting arrangements.

· Experience overseeing outside litigation counsel in litigation and other adversarial proceedings.

· Manage outside legal corporate counsel engaged to represent the Company when necessary.

Qualifications

JD from accredited law school.

Bar from one or more U.S. state bars.

Experience in energy development strongly preferred

Excellent commercial drafting and negotiation skills.

Flexibility and willingness to work on a variety of legal matters.

Willingness to view damage mitigation and “putting out fires” as a job well done and gratifying.

Ability to simultaneously manage a variety of assignments, work quickly and effectively under pressure and to prioritize activities.

Strong interpersonal skills and the ability to work effectively as part of a team
