The General Counsel and VP of Compliance is responsible for developing and maintaining compliance policies, procedures, and controls. They also contribute to the management and mitigate risks to Complete Merchant Solutions as identified by Acquiring Banks and Card Networks. The General Counsel & VP of Compliance maintain sufficient authority and independence from Operations and Sales and is responsible for each of the program components, including BSA/AML/OFAC Compliance Program, Consumer Protection Compliance Program, and Payment System Rules.

Responsibilities

Oversee the compliance assessment program process related to compliance with laws, rules, and regulations minimizing risks to CMS. Report to the Board of Directors on findings and corrective action.

Act as a primary point of contact for acquiring banks, auditors, and examiners for compliance audits.

Oversee employee, agent, and merchant training and awareness program.

Maintain suspicious activity, account data compromise, and legal notices reporting program.

Lead Merchant non-Compliance issues, including card brand notifications, bank reviews, and governmental agencies reviews with internal teams.

Manage Agent partner monitoring program for compliance with CMS guidelines.

Participate in merchant PCI DSS compliance with internal teams.

Write and maintain company Policies and Procedures, including internal scheduled reviews and Board of Directors approvals as appropriate.

Identify and report on new regulatory requirements by monitoring trade associations, governmental announcements, rulemaking bodies, and consumer news. Adjust policy and procedures as needed.

Qualifications

Juris Doctorate and an active state bar membership in good standing

Minimum 5 years experience practicing law; with experience in the following areas: financial services, software & technology, FTC compliance, and contract law

Excellent listening, verbal, and written communication skills

Excellent organization, negotiation, leadership, and creative problem-solving skills

Self-motivated, with an ability to manage multiple, competing priorities

Strong understanding of Federal and State regulations governing the fintech industry

Knowledgeable of state and federal privacy laws, AML/BSA/OFAC laws and regulations
