The General Counsel will serve as a strategic member of the executive team and partner with the other executives in setting the company’s continued growth strategy. He/she will be leading the Legal function as well as providing oversight to several other critical areas which may include: Commercial Contract Management, Human Resources Policy and Programs, Business Development, Regulatory Affairs and Corporate Enterprise Risk and Compliance. She/he will be the key corporate governance interface with the Board of Directors and is responsible for timely, accurate and comprehensive filings of the company’s various reporting obligations.

SPECIFIC JOB DUTIES:

· Standardize the company’s various commercial contractual forms.

· Devise and own processes and procedures whereby approvals for negotiations and/or exceptions to the standard commercial contract forms are administered.

· Strategic Business Partner – Partner with Executive Team in the development and execution of the company’s strategic plans.

· Board interface – Act as the secretary to the Board of Directors and provide logistics support as required to ensure smooth and seamless operation as well as board governance remains in complete compliance to all requirements.

· Legal Matter Oversight – Assess various legal matters and offer counsel to Executive team members that minimizes risk/exposure while maximizing potential benefit to the company. Negotiate, draft and execute corporate agreements and contracts aligned to our strategic plans and desired outcomes; engage appropriate external resources as needed to provide needed expertise and adequate resources to prosecute / litigate matters as needed.

· Regulatory Compliance – Review all Advertising and Marketing materials as well as Sales Promotions and Sales Model programs to ensure compliance with all legal and regulatory requirements.

· Enterprise Risk Management – Working across all functional areas, assess the various enterprise risks for potential disruption to the business as well as the extent of the potential impact upon the business. Work with specific functional leaders to identify and implement mitigation strategies and track performance of these improvement efforts.

· Policy and Procedures – Partnering with fellow C-Level executives and Human Resource team members; the GC will lead efforts to identify policies requirements (new policy or modification) make recommendation for change and once approved draft, execute, train and monitor compliance

· Business Development – Partnering with CEO, CFO, COO and members of the Board of Directors to identify, assess, negotiate and close business deals which advance the company toward its strategic goals. Additionally, work directly with commercial team members to structure Go-to-market models with adequate protection to the company while increasing our recurring revenue mix

Desired Outcomes

· Partner effectively with the executive leadership team to build the business and drive continued growth, profitability and commercial success for the company.

· Working with CFO to assess current G&A budget performance and develop near-term and longer-range plans that can significantly reduce expenses and lower overall G&A costs.

· Work with Commercial Team Leaders to fully understand various go-to-market capital sales models and advise fellow executive team members on possible model changes which would accelerate the company toward its strategic goals around revenue mix (recurring revenue growth)

· Elevate the level of coordination and collaboration across key G&A functions as well as working with fellow executive leaders to drive a culture shift within the business of greater engagement, higher accountability, bolder leadership and leaner operations.

EDUCATION/EXPERIENCE REQUIREMENTS:

Bachelor’s and Juris Doctor degree or equivalent experience with record of high academic achievement , with a minimum of 10 years of Legal experience, including a high- level position in a U.S. public company. Sitting public company GC experience is preferred.

Experience in a complex global growth business required; experience with Biotech capital equipment, recurring revenue streams, in-house manufacturing and internal field service teams strongly preferred.

Built relationships with the internal and external stakeholders within the Med Device space, capable of articulating the strategy and key elements of our portfolio and go-to-market plans intended to transform the business over the next few years.

Preferred experience working with the CFO and their team, develop and execute a plan which ensures complete and timely compliance to all public company filings (e.g, Forms 10-K, 10-Q, Proxy Statements), interactions with the SEC, and related topics.

Excellent verbal and written communication skills; problem-solving skills; ability to plan and schedule multiple projects and tasks

Strong analytical, organizational, and project management skills

Ability to work within a team and independently based on the project/task

Must be a proactive, self-starter with a results-oriented focus

Must possess a “can-do” attitude with the ability to produce consistently accurate results at a fast pace, willing to and capable of assuming additional responsibilities
