A. PURPOSE AND SCOPE

The Corporate Counsel is responsible for assisting the leadership Team with legal expertise supporting the strategic goals of the company. These areas include the clinical/operational areas, corporate transactions (including acquisitions, real estate transactions, joint ventures, financing arrangements, and contracts), corporate governance, government agency regulations and licensure, intellectual property and licensing, and all other related matters and issues.

B. PRIMARY RESPONSIBILITIES

•Assists the leadership team in structuring, drafting, reviewing, negotiating and closing business transactions and operational agreements.

•Provides guidance to company management regarding compliance with laws and policies to assist in the operations of the company.

•Reviews, negotiates and revises vendor contracts and coordinates contract management.

•Provides corporate compliance legal support; related to billing and coding compliance, government and payer audits, healthcare fraud, abuse of laws including Stark and Anti-Kickback Statute, privacy laws including HIPAA, system wide matters and issues regarding compliance.

•Liaisons relationships with outside counsel and consultants as required.

C. EDUCATIONAL REQUIREMENTS

•Juris Doctor (JD) law degree from an accredited law school.

•Admitted to the State Bar of Massachusetts

D. EXPERIENCE REQUIREMENTS

•At least 3 years of healthcare experience in a law firm, government agency or in-house legal department.

•Demonstrated experience with regulatory policy, research, analysis and guidance.

•The ability to communicate effectively and to provide legal analyses and guidance.

E. PHYSICAL REQUIREMENTS

Ability to sit, stand and walk for extended periods and effectively utilizes computer and phone systems. Ability to drive long distances and travel by air. All requirements can be made with or without accommodation.

F. INTERNAL/EXTERNAL INTERACTIONS

Extensive interaction with employees at all organizational levels and outside vendors/resources/customers
