DESCRIPTION

The General Counsel is responsible for providing legal services to the company on a variety of projects and corporate matters, as well as managing corporate registrations and licensure. The role leads risk management, contracting, and subcontracting activities including facilitating resource allocation and outsourcing to external legal partners. This individual evaluates the sufficiency of insurance coverage obtained by the company; and develops and implements processes to mitigate corporate risks. The General Counsel advises, consults, litigates and performs trial work, and carries out the legal processes necessary to affect the rights, privileges, and obligations of the organization

POSITION REQUIREMENTS

Legal Services: Develops organizational policies on industry specific issues or regulatory affairs and verifies compliance with federal, state and local laws and regulations.? Analyzes and summarizes complicated legal documents, making recommendations for alterations. ?

Claims Management: Manages and resolves design and construction defect claims and negotiates with outside parties on legal disputes and settlements. Responsible for investigations to determine root causes and necessary corrective actions.

Insurance/Bonding & Surety Management: Responsible for tracking losses by line of coverage and ties to business metrics, then analyzes opportunities for improvements. Assists with obtaining and maintaining insurance and bonds; works closely with insurance brokers to obtain appropriate coverage.

Architecture, Engineering & Construction Services:? Drafts, reviews and negotiates every type of agreement affecting the service offerings of the company. Oversees contract reviews and negotiations with internal project teams, clients and outside counsel.

Real Estate and Development: Drafts, reviews and negotiates documents related to development, purchase and sale, real estate secured loans, operating agreements, syndication documents, modification and workout documents, leasing, as well as related due diligence work, including title and survey review, and closing these and other real estate transactions.
