Responsibilities:

Manages and resolves all matters related to legal and regulatory compliance issues for all of the owner’s business entities: GMP Laboratories of America, BioCell Technology LLC., Health Logics Laboratories Inc., Silver Hawk LLC., AP capital, The Desi Family, Desi Pro, Iquipco, Intellipi La Jolla M&A, Maha Adam, Quality Raw Material & Premixes LLC., Victoria 10091, Maha Beauty, FCRT Investment LLC., Zumlife Nutrition LLC., CAPE FRIO-16 LLC, All Halal Nutrition LLC., and any and all other entities formed by the owner, as well as the owner’s personal, legal interests, with an excellent understanding of major federal laws, applicable state laws and related regulations that govern the dietary supplement industry, including but not limited to FDA and FTC regulations.

Provides overall leadership and management of all corporate, employment and commercial legal matters, facilitating strategically important Company initiatives for all business entities:

Advises all Company personnel including senior leadership on all legal rights and obligations and negotiate, draft, and review all contracts for all business entities.

Negotiates and reviews all business entity agreements, as well as the owner’s personal, legal interests, including but not limited to: Licensing agreements (inbound and outbound), international distribution agreements, vendor agreements, e-commerce and website agreements, software agreements, non-disclosure agreements, manufacturing agreements, related entity shared services agreements, joint venture agreements, operation agreements, work for hire agreements, real estate agreements, transactional support on acquisitions and inventor license agreements.

Manages the drafting, review and implementation of complex legal contracts and statements of work for all business entities, as well as the owner’s personal, legal interests.

Prepares and submits for litigation, complaints, responses, motions, interrogatories, depositions, discoveries, subpoenas, and other related legal matters as required.

Proactively and efficiently manages all business entities’ worldwide IP portfolio and properties, including but not limited to: Product name clearance opinions, Product patent clearance and patent registration support, Copyright clearance review and registration, Preparation of product development agreements, Product artwork clearance, Formulating and implementing worldwide counterfeit program,

Manages & Resolves external disputes and litigation as they pertain to all business entities, and owner’s personal interests.

Assists HR, internal audit and compliance departments in investigations where required for all business entities:

Develops and drafts responses to inquiries and investigations with external regulatory bodies as needed for all business entities, as well as the owner’s personal, legal matters.

Manages and resolves all claims (general commercial liability, products and premises liability, errors and omissions, automobile liability, workers compensation, and property claims) relating to all business entities.

Coordinates and liaises with broker, TPAs and claim adjusters on claim matters relating to tall business entities: as well as the owner’s personal, legal matters.

Participates in claims review on all lines of coverage, including CA WC claims as they pertain to all business entities:

Participates in the policy renewal process for all business entities, as well as the owner’s personal, legal matters.

Manages the corporate records, minutes, and operation of Board committees in cooperation with other members of the executive team for all the following business entities:

Responsible for management of all legal affairs, including external counsel, and liaison to the Board and executives of all business entities, ensuring effectiveness and cost control.

Performs other duties as assigned by the President and CEO or any of the CEO’s designees.
