Opportunity

The Sr. Executive Director of People Strategy and General Counsel is a key contributor to the strategic and operational components of the organization including planning, managing, and leading the corporate functions of legal, acquisitions, people development, and human resources. The position will serve as primary legal advisor for corporate strategic and tactical legal initiatives and will provide senior management with effective advice on company strategies as well as being directly involved in negotiating complex and critical business transactions.

Location: This position will sit at our corporate headquarters in Muncie, IN.

Essential Duties & Responsibilities

Advises, consults and serves as a member of the upper management team in the development and execution of short term and long range strategic plans and develops budgets based on broad corporate goals, acquisitions, strategic planning and growth objectives.

Directs people development and Human Resources Department to foster and maintain a world-class work environment.

Structures and manages the company’s internal legal function and oversees the selection, retention, management and evaluation of all outside counsel.

Serves as key legal advisor on major business transactions, including acquisitions, joint ventures and divestitures; oversee the work of outside legal counsel as needed.

Plans and directs all aspects of achieving company growth through acquisitions, joint ventures and divestitures.

Identifies and determines feasibility of possible mergers and contributes to mergers and acquisitions negotiations.

Assumes ultimate responsibility for ensuring the company conducts its business in compliance with all applicable local, state, and federal laws and regulations.

Evaluates and analyzes the results of programs and services regularly and systematically; reports these results to the Chairman, CEO and President in addition to other management reporting.

Establishes and maintains long term networking relationships and centers of influence through active involvement and participation in business, social, community and political arenas, boards or activities.

Coordinates, establishes and assigns goals to department managers and directors.

Prepares and monitors department(s) budget, management reporting and profit center.

Directs preparation and distribution of written and verbal information to employees.

Minimum Qualifications

Experience: 7-10+ years related experience and/or training including legal experience in a law firm or in corporate law.

Education: Doctor of Law (JD)

Certifications: Licensed Attorney

Language: English

Competencies:

Experienced in acquisition and/or intellectual property law, including patent law and licensing of IP rights/due diligence.

Ability to think strategically and execute on strategy.
